Target FCF definition

Target FCF means the cumulative amount of FCF for the Four-Year Performance Period that is established by the Committee as set forth in the Notice of Target Amounts that correlates to the Target FCF Award.
Target FCF means the cumulative amount of FCF for the Four-Year Performance Period that is established by the Committee at the time it approves the grant of PRSUs that correlates to the Target FCF Award.

Examples of Target FCF in a sentence

  • Subject to the Participant’s continued Employment with the Company or one of its Affiliates (except as provided in Section 3(k)) through February 27, 2012, the FCF Cash Upside Units shall be earned with respect to one-third of the Units subject to the FCF Cash Upside Units on each FCF Performance Date to the extent that the Actual FCF for the fiscal year ending on such FCF Performance Date is between one hundred percent (100%) and one hundred twenty percent (120%) of the Target FCF for such fiscal year.

  • When granting any PEI, the Committee shall, in its absolute discretion, determine (and notify to the Participant) the Target FCF Growth Rate (and Lower Range Limit and Upper Range Limits) that shall apply to the PEI.

  • Such number shall equate to achievement of Target FCF Growth Rate, with a lesser or greater number of Shares being available on performance between the Lower Range Limit and Upper Range Limit (as those terms are defined in Schedule Two or specified in any other performance measure which applies to PEI from time to time) being achieved.

  • A PEI award may be exercised on a straight-line basis where FCF Growth Rate is between the Lower Range Limit and the Upper Range Limit (Target FCF Growth Rate being the mid-point of that range).
