Temporary Director definition

Temporary Director means the temporary appointment by OLTC, or by the facility with the approval of OLTC, of a substitute facility Director with authority to hire, terminate or reassign staff, obligate facility funds, alter facility procedures and manage the facility to correct deficiencies identified in the facility's operation, or to assist in the orderly closure of a facility. A temporary Director may be appointed by the Office of Long Term Care only upon the consent and agreement of the facility. The temporary Director shall provide reports to the OLTC regarding the operation of the facility and the efforts toward correction by the facility as requested by the OLTC.
Temporary Director means a Director appointed in accordance with Article 21
Temporary Director as defined in Section 3.2(d).

  • If no stockholders can reasonably be assembled in order to conduct a vote for Temporary Directors, then the President or his successor, as determined pursuant to Section 9 of Article IV herein shall be deemed a Temporary Director of the corporation, and such President or his successor, as the case may be, shall have the right to appoint additional Temporary Directors to serve with him on the Board of Directors of the corporation during the term of the emergency.

  • If no directors are available to call or attend a meeting of directors during an emergency, the President or his successor shall be deemed a Temporary Director of the corporation, and such President or his successor, as the case may be, shall have the right to appoint additional Temporary Directors to serve with him on the Board of Directors of the corporation during the term of the emergency.
