The only Warranties definition

The only Warranties given: (A) in respect of the Reference Balance Sheet are those contained in paragraph 6 (Reference Balance Sheet) of Schedule 1 (Warranties). None of the other Warranties shall or shall be deemed to be, whether directly or indirectly, a Warranty in respect of the Reference Balance Sheet and the Purchaser acknowledges and agrees that the Seller makes no other representation or warranty as to the Reference Balance Sheet; (B) in respect of Property are those contained in paragraph 16 (Property) of Schedule 1 (Warranties). None of the other Warranties shall or shall be deemed to be, whether directly or indirectly, a Warranty in respect of Property and the Purchaser acknowledges and agrees that the Seller makes no other representation or warranty as to Property; (C) in respect of Intellectual Property (or know-how and agreements relating to Intellectual Property) are those contained in paragraph 17 (Intellectual Property) of Schedule 1 (Warranties). None of the other Warranties shall or shall be deemed to be, whether directly or indirectly, a Warranty in respect of Intellectual Property and the Purchaser acknowledges and agrees that the Seller makes no other representation or warranty as to Intellectual Property (or know-how and agreements relating to Intellectual Property); (D) in respect of employment matters are those contained in paragraph 20 (Employment) of Schedule 1 (Warranties). None of the other Warranties shall or shall be deemed to be, whether directly or indirectly, a Warranty in respect of employment matters and the Purchaser acknowledges and agrees that the Seller makes no other representation or warranty as to employment matters;
The only Warranties given: (A) in respect of defaults under contracts with customers are those contained in paragraph 8.7(A) of Schedule 3 and each of the other Warranties shall be deemed not to be given in relation to defaults under contracts with customers; (B) in respect of defaults under contracts with suppliers are those contained in paragraph 8.9 of Schedule 3 and each of the other Warranties shall be deemed not to be given in relation to defaults under contracts with suppliers; (C) in respect of Intellectual Property and Information Technology are those contained in paragraph 18 of Schedule 3 and each of the other Warranties shall be deemed not to be given in relation to Intellectual Property and Information Technology; (D) in respect of matters related to the Environment, are those contained in paragraph 22 of Schedule 3 and each of the other Warranties shall be deemed not to be given in relation to any matter related to the Environment; (E) in respect of any Property, Certificated Property and Overseas Office (as the case may be) are those contained in paragraph 17 of Schedule 3 and each of the other Warranties shall be deemed not to be given in relation to any Property, Certificated Property and Overseas Office (as the case may be); and (F) in respect of Tax, are those contained in paragraphs 23 to 36 of Schedule 3 and each of the other Warranties shall be deemed not to be given in relation to Tax.
The only Warranties given: (a) in respect of the Property is the Warranty contained in paragraphs 3.2 and 3.10 and in paragraph 18 of Schedule 5 and each of the other Warranties shall be deemed not to be given in relation to the Property; (b) in respect of Intellectual Property are the Warranties contained in paragraphs 6 and 11 of Schedule 5 and each of the other Warranties shall be deemed not to be given in relation to Intellectual Property; and (c) in respect of competition, anti-restrictive trade practice or anti-trust legislation is the Warranty contained in paragraph 15 of Schedule 5 and each of the other Warranties shall be deemed not to be given in relation to competition, anti-restrictive trade practice or anti-trust legislation.

Examples of The only Warranties in a sentence

  • The only Warranties given in relation to Tax or any related claims, liabilities or other matters (“Tax Matters”) are the Tax Warranties and no other Warranty is given in relation to Tax Matters.

(d) in respect of Intellectual Property are those set out in Paragraph 11 (Intellectual Property) of Part 1, Paragraphs 2 and 3 of Part 3, Paragraph 2 of Part 4, Paragraph 1 of Part 5, Paragraph 1 of Part 6, Paragraph 1 of Part 7, Paragraphs 2 and 3 of Part 8 and Paragraph 3 of Part 9, of Schedule 4 (Warranties) and the other Warranties shall be deemed not to be given in relation to Intellectual Property; (e) in respect of pensions matters are those set out in Paragraph 16 (Pensions) of Part 1 of Schedule 4 (Warranties) and the other Warranties shall be deemed not to be given in relation to pensions matters; (f) in respect of Taxation are those set out in Paragraph 17 (Taxation Matters) of Part 1, Paragraph 1 of Part 2, Paragraph 3 of Part 4, Paragraph 3 of Part 6, Paragraph 2 of Part 7, Paragraph 5 of Part 8 and Paragraph 5 of Part 9, of Schedule 4 (Warranties) and the other Warranties shall be deemed not to be given in relation to Taxation; and (g) in respect of competition and anti-trust law matters are those set out in Paragraph 21 (Competition) of Part 1, Paragraph 4 of Part 6, Paragraph 3 of Part 7, Paragraph 6 of Part 8 and Paragraph 6 of Part 9, of Schedule 4 (Warranties) and the other Warranties shall be deemed not to be given in relation to competition and anti-trust law matters.

Related to The only Warranties

  • Seller Warranties shall have the meaning ascribed to the term in Clause 7.1.

  • Purchaser Warranties shall have the meaning ascribed to the term in Clause 8.1;

  • Warranties - means collectively any and all warranties (if any) given by the Bidder in terms of this agreement.

  • Manufacturer’s Warranty means the warranty supplied from time to time by the manufacturer of the Goods as at the date of the acceptance of the Statement of Work; “PPSA” means the Personal Property Securities Xxx 0000; “Price” means the amount specified within each Statement of Work (subject to any Variation) or as otherwise specified from the Company to the Customer representing the cost for the Works; “Related Work” means any additional building, carpentry, painting, plastering, plumbing or other work or other trades that the Customer requires, which are not to be carried out by the Company; “Services” means the services provided by the Company to the Customer as part of the Works, which may include without limitation the installation of Goods; “Services Delay Charge” means the services delay charge (if any) set out in the Statement of Work; “Services Interruption Event” means any interruption to a Works caused by; a Force Majeure Event, the Customer’s failure to carry out or perform any obligation required of it under this agreement which in the sole opinion of the Company does or may cause a delay in the Works and any other matter which in the reasonable opinion of the Company will cause an interruption or delay in the performance of the Works; “Statement of Work” means the details outlining the provision of the Works, which statement can be delivered verbally or in writing (including email) and may include (where applicable) an estimate or quotation (as specifically expressed as the case) of costs; “Variation” means a change in the Statement of Work including the specifications, scope, time of supply, price or scale of the Works and such variation shall form part of this agreement; “Workmanship” means a good and high quality and standard of delivery in connection with the Services performed; “Works” means the supply of Goods and the provision of Services to the Customer as per each Statement of Work;

  • Conditions of Contract means those statements contained in or delivered with your Ticket/s or Itinerary/Receipt, identified as such and which incorporate by reference, these Conditions of Carriage and notices.

  • Company Representations means the representations and warranties of the Company expressly and specifically set forth in Article IV of this Agreement, as qualified by the Schedules. For the avoidance of doubt, the Company Representations are solely made by the Company.

  • Limitation of Liability PrimePay has negotiated preferred terms and conditions with FD as a service to PrimePay Clients. Client understands that FD, and not PrimePay, will be performing those services and that Client will enter its own service agreement(s) with FD for such services under terms and conditions specified by FD and agreed to by Client. Accordingly, Client acknowledges that FD shall be the provider of Payment Processing Services hereunder and that PrimePay shall have no liability whatsoever for or related to the performance of those services, including any and all damages, costs and related expenses (including attorney fees).

  • Warranty Rights means the Warranty Rights as described in Schedule I to the Participation Agreement.

  • Indemnification Provisions means each of the Debtors’ indemnification provisions currently in place whether in the Debtors’ bylaws, certificates of incorporation, other formation documents, board resolutions, or contracts for the current and former directors, officers, managers, employees, attorneys, other professionals, and agents of the Debtors and such current and former directors’, officers’, and managers’ respective Affiliates.

  • Buyer Fundamental Representations means the representations and warranties of Buyer contained in Sections 6.1, 6.2 and 6.7.
