The School means the Governing Body of the School, its employees and agents. ‘The Hirer’ is the organisation or individual with whom the school is contracting.
the Scottish Infected Blood Support Scheme means the scheme of that name administered by the Common Services Agency (constituted under section 10 of the National Health Service (Scotland) Act 1978(b));
SONIAi-pLBD means, in respect of any London Banking Day falling in the relevant Observation Period, the SONIA reference rate for the London Banking Day falling "p" London Banking Days prior to the relevant London Banking Day "i".
Tax Filing Authorised Person means such person as any Director shall designate from time to time, acting severally.
Party B The Credit Support Annex, solely in respect of Party B's obligations under Paragraph 3(b) of the Credit Support Annex.
EU GDPR means Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC.
Party A The guarantor under any guarantee in support of Party A's obligations under this Agreement. Party B: None.

Programme Limit means the maximum aggregate nominal amount of Notes that may be issued and outstanding at any time under the Programme, as such limit may be increased pursuant to the Dealer Agreement;
Leading Hand means an employee who is given by the employer, or the employee’s agent, the responsibility of directing and/or supervising the work of other persons, or in the case of only one person, the specific responsibility of directing and/or supervising the work of that person.
statutory undertaker means a person who is or is deemed to be a statutory undertaker for the purposes of any provision of Part 11 of the Town and Country Planning Act 1990.
Programme Date means the date of this Base Prospectus.
Authorised Participant Agreement means, in respect of an Authorised Participant, the authorised participant agreement (as amended, supplemented, novated and/or replaced from time to time) entered into by the Issuer and such Authorised Participant.
Semester means the first six months or the second six months of a calendar year.
Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;
authorised development means the development and associated development described in Schedule 1 (authorised development) and any other development authorised by this Order, which is development within the meaning of section 32 of the 2008 Act;
Finance Parties means the Facility Agent, the Arrangers, the Bookrunners, the Security Trustee, the Lenders, the holders of any Senior Secured Notes and the trustees and/or agents in respect of any Senior Secured Notes and “Finance Party” means any of them.
statutory undertakers means persons authorised by any law to carry on any road transport, water transport, dock, harbour or pier undertakings or any undertaking for the supply of electricity, water, telephonic, telegraphic, sewerage or quarrying services and “statutory undertaking” has a corresponding meaning;
Programme Party means a party to a Programme Document (other than the Issuer and ETP Securityholders).
Programme Agreement means the programme agreement entered into on or about the date hereof between, inter alios, the Guarantor, the Sellers, the Issuer, the Representative of the Covered Bondholders and the Dealers.
Creditor Parties means, collectively, the Administrative Agent, the Lenders, the L/C Issuers, the Swap Banks, and each co-agent or sub-agent appointed by the Administrative Agent from time to time pursuant to Section 9.05, and the other Persons to whom the Obligations are owing.
authorised activities means the activities which the Licensee is authorised bythis licence to carry on, and shall include any purpose connected with the supply to any premises of heat produced in association with electricity and steam produced from air and water heated by such heat; and
authorised party means the party referred to in Article XIII(3);
Relevant Agreement means an agreement benefiting persons who receive educational instruction at the School.
Scheme Year means a period of one year beginning with 1st April and ending with 31st March;
