In case of transfer of Personal Data to a Third Country the Processor shall, when deemed relevant by the Controller, collaborate with the Controller in conjunction with the execution of data transfer agreements based on the EU Standard Contractual Clauses for the transfer of Personal Data to Processors established in Third Countries in accordance with the Decision 2010/87/EU, or any replacement or alternative clauses approved by the European Commission.

Prior to transferring Data to a country outside the EEA (“Third Country”), OneTrust shall review the adequacy of data protection in the Third Country and shall apply (where necessary) the appropriate measures to ensure that the transferred Data is subject to an essentially equivalent protection as that guaranteed in its original jurisdiction.
Subject to Section 12.3, the Standard Contractual Clauses will only apply to Customer Data subject to the GDPR that is transferred, either directly or via onward transfer, to any Third Country, (each a “Data Transfer”).
