Xxx Charitable Investment, L.P., or any limited or general partner, stockholder, officer, employee or consultant of such THL Investor, or any officer, employee or consultant of THL; provided that for the purposes of making calculations under the definition of “Change of Control,” the aggregate amount of equity of Xxxxxx Holdings attributable to consultants of THL and consultants of THL Investors may not exceed $3 million.
