Title and Survey Side Letter definition

Title and Survey Side Letter has the meaning set forth in Section 5.3.1.
Title and Survey Side Letter has the meaning set forth in Section 4(c)(i) hereof.

  • Seller shall have no obligation to cure any Title Exceptions or Survey Defects other than the Unpermitted Exceptions as set forth in the Title and Survey Side Letter or any New Title and Survey Election Notice.

  • Seller shall have no obligation to cure any Title Exceptions or Survey Defects other than the Monetary Defects and Unpermitted Exceptions as set forth in the Title and Survey Side Letter.

  • Except as provided in Section 5.3.3 below, all Title Exceptions and Survey Defects other than those expressly set forth inthe Title and Survey Side Letter or in Section 5.3.1 shall constitute “permitted exceptions” to title to the Real Property (the “ Permitted Exceptions ”).

  • If the Parties agree on which Title Exceptions and Survey Defects shall constitute the Unpermitted Exceptions, the Parties shall enter into a side letter agreement with the Title Company setting forth which Title Exceptions and Survey Defects shall constitute theUnpermitted Exceptions (the “ Title and Survey Side Letter ”).

  • The Seller Parties shall have no obligation to cure any Title Exceptions or Survey Defects other than Automatic Unpermitted Exceptions and other than the Unpermitted Exceptions as set forth in the Title and Survey Side Letter or any New Title and Survey Election Notice.

  • All Title Exceptions and Survey Defects other than those expressly set forth in the Title and Survey Side Letter or in Section 4(c)(i)shall constitute “permitted exceptions” to title to the Real Property (the “Permitted Exceptions”).

  • Existing Survey means the existing ALTA survey of the Property.

  • Title Commitment shall have the meaning set forth in Section 4.2.

  • Title Policy shall have the meaning set forth in Section 4.2.

  • Title Report has the meaning set forth in Section 5.4(b).

  • Survey shall have the meaning set forth in Section 4.1.

  • Existing Title Policy means, the existing title insurance policy for the Property.

  • Title Page means, for a printed book, the title page itself, plus such following pages as are needed to hold, legibly, the material this License requires to appear in the title page. For works in formats which do not have any title page as such, “Title Page” means the text near the most prominent appearance of the work’s title, preceding the beginning of the body of the text.

  • Title Documents shall have the meaning set forth in Section 4.1.

  • Due Diligence Examination shall have the meaning set forth in Section 3.2.

  • Record of survey map means a map of a survey of land prepared in accordance with Section 10-9a-603, 17-23-17, 17-27a-603, or 57-8-13.

  • Land surveyor means a person who by reason of knowledge of

  • Permitted Exception means (a) liens for Taxes and other governmental charges and assessments which are not yet due and payable, (b) liens of landlords and liens of carriers, warehousemen, mechanics and materialmen and other like liens arising in the ordinary course of business for sums not yet due and payable, (c) other liens or imperfections on property which are not material in amount or do not materially detract from the value or the existing use of the property affected by such lien or imperfection, (d) such statements of fact and exceptions shown on any title insurance policies delivered to Global.

  • Survey Area means the area of land or waters the subject of a Survey, or proposed to be the subject of a Survey.

  • Permitted Exceptions shall have the meaning set forth in Section 4.3.

  • Surveys has the meaning set forth in Section 4(o) above.

  • Generation Interconnection Feasibility Study means a study conducted by the Transmission Provider (in coordination with the affected Transmission Owner(s)) in accordance with Tariff, Part IV, section 36.

  • Professional land surveyor means a professional land surveyor licensed under ch. 443.

  • Real Property Documents means any material contract or agreement constituting or creating an estate or interest in any portion of the Site, including, without limitation, the Lease Agreements and the Subleases.

  • Owner’s Title Policy means those certain ALTA extended coverage owner’s policies of title insurance issued in connection with the closing of the Mortgage Loan insuring the Mortgage Borrower as the owner of the Property.

  • Preliminary Title Report A report issued by a title insurance company in anticipation of issuing a Title Insurance policy which evidences existing liens and gives a preliminary opinion as to the absence of any encumbrance on title to a Mortgaged Property, except liens to be removed on or before purchase or refinance, as the case may be, by the Borrower and Permitted Encumbrances.

  • Phase I Environmental Report means a report by an Independent Person who regularly conducts environmental site assessments in accordance with then current standards imposed by institutional commercial mortgage lenders and who has a reasonable amount of experience conducting such assessments.

  • Title V means Title V of the federal Act for the Senior Community Service Employment Program for Older Americans.

  • Tube housing assembly means the tube housing with tube installed. It includes high-voltage and/or filament transformers and other appropriate elements when such are contained within the tube housing.

  • Title Objections has the meaning ascribed to such term in Section 6.2(a).
