Title Cure Deadline definition

Title Cure Deadline means the Closing Date.
Title Cure Deadline means 6:00 p.m. local New York, New York time on that day which is fifteen (15) days after the date on which Buyer delivers to Seller Buyer’s title and survey objections.
Title Cure Deadline means 6:00 P.M. Eastern time on that day which is 15 days after the date on which Buyer delivers to Seller the Title Objections.

  • If any such Title Objection is not so cured on or before the Title Cure Deadline, then Buyer may Terminate this Agreement by notice to Seller within five (5) Business Days after the Title Cure Deadline.

  • If Purchaser has notified Seller in writing of any defects in title as set forth above, Seller shall have the right, but not the obligation , until the Title Cure Deadline within which to cure any such defects in title provided however, that Seller shall not be under any obligation to pay any amounts or to bring any action or proceeding or to otherwise incur any expense in order to effect cure of any such defect in title.

  • In addition, Seller may elect (but shall not be obligated) to Remove or cause to be Removed any other Title Objections, and, with respect thereto, Seller may notify Buyer on or before the Title Cure Deadline whether Seller elects to Remove the same (and the failure to provide such notice on or before the Title Cure Deadline shall be deemed to constitute an election of Seller not to effect any such cure).

  • If on or before the Title Cure Deadline Seller has not either cured such Title Objection or covenanted with Buyer to cure such item at or prior to Closing, then Buyer may Terminate this Agreement by written notice to Seller within five (5) Business Days after Seller’s election (but, in any event, prior to the Closing Date).


More Definitions of Title Cure Deadline

Title Cure Deadline means 6:00 P.M. Eastern time on that day which is 15 days after the date on which Buyer delivers to Seller the Title Objections. “Title Objections” shall mean any defects in title (including any Record Exceptions which are not acceptable to Buyer) or survey (including the description of the Land) which may be revealed by Buyer’s examinations thereof to which Buyer timely objects in accordance with the terms of Paragraph 4.3. “Title Policy” shall mean the ALTA Owner’s Policy of Title Insurance issued by the Title Company in the amount of the Purchase Price and in the form of the Title Commitment, and containing, unless prohibited by applicable statutes or regulations, such endorsements as Buyer may obtain from the Title Company in the Title Commitment prior to the Due Diligence Deadline. Buyer shall be entitled to request that the Title Company provide such endorsements (or amendments) to the Title Policy as Buyer may reasonably require, provided that (a) such endorsements (or amendments) shall be at no cost to, and shall impose no additional liability on, Seller, (b) Buyer’s obligations under this Agreement shall not be conditioned upon Buyer’s ability to obtain such endorsements and, if Buyer is unable to obtain such endorsements, Buyer shall nevertheless be obligated to proceed to close the Transaction without reduction of or set off against the Purchase Price, and (c) the Closing shall not be delayed as a result of Buyer’s request. “Transaction” shall mean the purchase and sale transaction contemplated by this Agreement. Related to Title Cure Deadline

  • Cure Deadline shall have the meaning provided in Section 11.11(a).

  • Title Commitment shall have the meaning set forth in Section 4.2.

  • Title Objections has the meaning ascribed to such term in Section 6.2(a).

  • Objection Deadline means the date identified in the Preliminary Approval Order and Class Notice by which a Settlement Class Member must serve written objections, if any, to the Settlement to be able to object to the Settlement. The Objection Deadline shall be no later than 30 days before the Final Approval Hearing.

  • Title Review Period shall have the meaning set forth in Section 4.3.

  • Claim Deadline means the last date by which a Claim submitted to the Settlement Administrator by a Settlement Class Member must be postmarked or submitted electronically, which will be ninety (90) Days after the Notice Deadline. All Claims postmarked or submitted electronically at the Settlement Website on or before the Claim Deadline shall be timely, and all Claims postmarked or submitted electronically at the Settlement Website after the Claim Deadline shall be untimely and barred from entitlement to any Settlement Relief.

  • Title Report has the meaning set forth in Section 5.4(b).

  • Closing Deadline means the date and time specified on the RFP Cover Page or any Addenda issued by TO LIVE, as the date and time by which Proponents must submit their Proposal;

  • Title Commitments has the meaning set forth in Section 3.5.

  • Extension Deadline means, with respect to a letter of credit, the Cutoff Time on the Business Day preceding the day on which the letter of credit expires.

  • Cure Date means the MuniPreferred Basic Maintenance Cure Date or the 1940 Act Cure Date, as the case may be.

  • Title Company means First American Title Insurance Company.

  • Plan Objection Deadline means the date the Bankruptcy Court establishes as the deadline to File an objection to Confirmation of the Plan.

  • Completion Deadline means the date by which the Arrangement is to be completed, which date shall be April 30, 2014 or such later date as may be agreed to in writing by the Parties;

  • Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.

  • Anticipated Cure Deadline has the meaning specified in Section 8.03(a).

  • Claims Objection Deadline means the later of: (a) the date that is 180 days after the Effective Date; and (b) such other date as may be fixed by the Bankruptcy Court, after notice and hearing, upon a motion Filed before the expiration of the deadline to object to Claims or Interests.

  • Title Defect Notice shall have the meaning set forth in Section 11.2(a).

  • Objection/Exclusion Deadline means the date by which a written objection to this Settlement Agreement or a request for exclusion submitted by a Person within the Settlement Class must be made, which shall be designated as a date no later than forty-five (45) days after the Notice Date and no sooner than fourteen (14) days after papers supporting the Fee Award are filed with the Court and posted to the settlement website listed in Paragraph 4.1(d), or such other date as ordered by the Court.

  • Title Policy shall have the meaning set forth in Section 4.2.

  • Notice Deadline means 2.30 p.m. (Dublin time), provided that the Notice Deadline in respect of any Series of ETP Securities may be adjusted by agreement between the Issuer and the Margin Loan Provider with effect from the fifth calendar day following the date on which notice of such adjustment is given to the holders in accordance with Condition 17.
