Total Prepayment Amount definition

Total Prepayment Amount as of any date of determination, an amount ----------------------- equal to all Net Cash Proceeds received by the Borrower and its Subsidiaries after the Effective Date that have not become Reinvested Proceeds during the applicable Reinvestment Periods for such Net Cash Proceeds and with respect to which the applicable Reinvestment Periods have terminated; provided, however, ------------------ that the "Total Prepayment Amount" shall exclude (i) an aggregate of $5,000,000 in Net Cash Proceeds received by the Borrower and its Subsidiaries after the Effective Date that have not become Reinvested Proceeds during the applicable Reinvestment Periods for such Net Cash Proceeds and (ii) the portion of such Net Cash Proceeds that has been applied to the prepayment of the Term Loans and the reduction of the Revolving Credit Commitments pursuant to Section 2.4(d) (including amounts for which the applicable prepayment was waived by the Lenders pursuant to Section 2.4(d)(iii)).
