Trade Dress Guidance definition

Trade Dress Guidance means guidance on Trade Marks and Trade Dress, elaborating the requirements in Clause 7 of this Agreement, issued by the Licensor and ViiV, as amended from time to time.
Trade Dress Guidance has the meaning given to such term in the Sublicense.

  • For the avoidance of doubt, the Trade Dress Guidance does not limit in any way the Licensor’s right to refuse to provide approval under this Clause 7.4, and the basis of Licensor’s refusal to provide approval under this Clause 7.4 shall not be limited to breaches of Clauses 7.2.

  • These obligations are further elaborated in the Trade Dress Guidance.

  • The Licensee shall ensure that the Trade Dress of each Licensed Product is visually differentiated f rom that of products sold or supplied by ViiV and/or its Affiliates in a manner further elaborated under the Trade Dress Guidance.

  • For the avoidance of doubt, the Trade Dress Guidance does not limit in any way the Licensor and/or ViiV’s right to refuse to provide approval under this Clause 10.3, and the basis of ViiV’s refusal to provide approval under this Clause 10.3 shall not be limited to breaches of Clauses 10.2.

  • The Trade Dress Guidance does not limit in any way ViiV’s right to refuse to provide approval under this Clause, and the basis of ViiV’s refusal to provide approval under this Clause is not limited to breaches of Clause 7.2 of the Sublicence.

  • The Licensee shall ensure that the Trade Dress of each Licensed Product is visually differentiated from that of products sold or supplied by ViiV and/or its Affiliates in a manner further elaborated under the Trade Dress Guidance.

  • Licensee will submit samples of the Products to ViiV (to such address and marked for the attention of such person as identified in the Trade Dress Guidance) for the Licensor’s and ViiV’s approval once trial batches are manufactured, and agrees not to manufacture exhibit batches of Products or to sell Products pursuant to this Agreement until the Licensor and ViiV have approved the colour and shape of the trial batches, such approval will not be unreasonably withheld, delayed or conditioned.

  • Licensee will submit trade dress documents required by the Trade Dress Guidance to Licensor (through the designated trade dress portal of the Licensor) for the Licensor’s and Xxxxxxx’x approval.

  • For the avoidance of doubt, the Trade Dress Guidance does not limit in any way the Licensor and/or Ferring’s right to refuse to provide approval under this Section 9.3, and the basis of Ferring’s refusal to provide approval under this Section 9.3 shall not be limited to breaches of Section 9.2.

Related to Trade Dress Guidance

  • DOL Guidance means the Department of Labor (DOL) Guidance entitled: “Guidance for Executive Order 13673, ‘Fair Pay and Safe Workplaces’”. The DOL Guidance was initially published in the Federal Register on August 25, 2016, and significant revisions will be published for public comment in the Federal Register. The DOL Guidance and subsequent versions can be obtained from www.dol.gov/fairpayandsafeworkplaces.

  • Trade Dress means a logo, insignia, or emblem attached to or visible from the exterior of a TNC

  • Uniform Guidance means the Office of Management and Budget Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards, which supersedes requirements from OMB Circulars A-21, A-87, A-110, and A-122, OMB Circulars A-89, A-102, and A-133, and the guidance in Circular A-50 on Single Audit Act follow-up. The terms and conditions of the Uniform Guidance flow down to Awards to Subrecipients unless the Uniform Guidance or the terms and conditions of the Federal Award specifically indicate otherwise.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Software Program means the software program used by a Fund for providing Fund and account balance information including net asset value per share. Such Program may include the Lion System. In situations where the Lion System or any other Software Program used by a Fund is not available, such information may be provided by telephone. The Lion System shall be provided to Insurance Company at no charge.

  • Branding Guidance means the Authority's guidance in relation to the use of branding;

  • Manufacturing Know-How means all information, techniques, inventions, discoveries, improvements, practices, methods, knowledge, skill, experience and other technology, whether or not patentable or copyrightable, and any copyrights based thereon, relating to or necessary or useful for the production, purification, packaging, storage and transportation of Collaboration Products, including without limitation specifications, acceptance criteria, manufacturing batch records, standard operating procedures, engineering plans, installation, operation and process qualification protocols for equipment, validation records, master files submitted to the FDA, process validation reports, environmental monitoring processes, test data including pharmacological, toxicological and clinical test data, cost data and employee training materials.

  • Client Application means an application developed by Licensee that a) utilizes the Runtime Product, b) is installed fully on an end user’s machine, with all report processing local to that machine, and c) adds significant and primary functionality to the Runtime Product.

  • Automated drug dispensing system means a mechanical or electronic system that performs

  • Service Drop means a cable that, by its design, capacity and relationship to other cables of the Company, can be reasonably considered to be for the sole purpose of connecting backbone of the Equipment to not more than one individual customer or building point of presence or property;

  • Commercial computer software means software developed or regularly used for non-governmental purposes which—

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Core Curriculum Content Standards means the New Jersey Student Learning Standards.

  • Software Products means any and all Software that is or has been distributed by the Division or Division Subsidiaries and their predecessors, and any similar products developed or under development by Seller relating to the Business as of the date of the Agreement, and all documentation, packaging materials, promotional materials, and training materials relating to any of the foregoing.

  • Guide dog means a guide dog as defined in section 1 of the Blind Persons’ Rights Act

  • Disabled parking license plate means a license plate that displays the international symbol of access

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment. Kodak software releases that are designated as updates will be identified A.B.x where the x designates the release as a Software Update.
