Tranche 2 Note definition

Tranche 2 Note shall have the meaning provided in Section 1.05(a).

Tranche 2 Note has the meaning provided in Section 2.09(e).

Tranche 2 Note means that certain Promissory Note dated as of the Final Closing Date, having a term which shall be co-terminous with the then remaining term of the Tranche 1 Note, and in the amount of the Tranche 1 Loan as set forth in Annex b attached hereto. UCC shall mean the applicable Uniform Commercial Code as then in effect in the applicable jurisdiction. Examples of Tranche 2 Note in a sentence

• The Tranche 2 Loan shall bear interest and be repaid by Customer at the times and in the manner set forth in the Tranche 2 Note.

• A duly executed but undated Tranche 1 Note or Tranche 2 Note (or both) (as appropriate).

• The subscription price in respect of all Warrants subject to the Optional Warrant Conversion Notice shall be aggregated for purposes of determining the number of Tranche 2 Notes issued, provided that no Tranche 2 Notes shall be issued for any part payment towards a Tranche 2 Note and after aggregation of all such amounts, any remaining fractional sums pursuant to an Optional Warrant Conversion Notice shall be discounted when calculating the number of Tranche 2 Notes to be issued.

• Certificate: means a Tranche 1 Note Certificate, a Tranche 2 Note Certificate or a Tranche 3 Note Certificate, as applicable.

More Definitions of Tranche 2 Note

Tranche 2 Note means a promissory note in the form of Exhibit B to the Funding Agreement, duly executed by two Authorized Officers of the Company.

Tranche 2 Note that certain promissory note dated as of March 27, 1997 in the original principal amount of $3,000,000 executed by Borrower and joined in by American Telemedia, Ltd. in favor of Lender and any other promissory notes issued by Borrower to Lender pursuant to this Agreement, and all extensions, renewals, modifications, replacements, amendments, restatements and refinancings thereof.

Tranche 2 Note means any Note which, at the time of its authentication by the Trustee, bears a notation that such Note is a Tranche 2 Note as provided in Sections 2.01 and 8.01 of this Supplemental Indenture.
