Tranche 3 Milestone Date definition

Tranche 3 Milestone Date means the date on which Borrower achieves the Tranche 3 Milestone.

Tranche 3 Milestone Date means the first date on which Borrower shall have satisfied the following conditions: (a) Borrower shall have achieved either Funding Milestone II or Funding Milestone III, (b) Borrower shall have, no later than the period ending December 31, 2025, completed seventy (70) Drug Product Deliveries across its LYFGENIA, ZYNTEGLO and SKYSONA products within a given trailing six (6) month period, and of which at least forty (40) such deliveries are for LYFGENIA, in each case, subject to verification by Agent in its reasonable discretion (including supporting documentation requested by Agent) and (c) no Default or Event of Default shall have occurred and is continuing.

Tranche 3 Milestone Date means the first date on which Borrower shall have satisfied the following conditions: (a) Borrower shall have achieved, no later than the period ending June 30, 2025 and at the time of the Tranche 3 Advance, Gross Profit of at least Thirty Million Dollars ($30,000,000), measured on a trailing three-month basis as of the last day of the month for which the most recent monthly financial statements were delivered in accordance with Section 7.1(a) and subject to verification by Agent in its reasonable discretion (including supporting documentation requested by Agent) and (b) no Default or Event of Default shall have occurred and is continuing.

More Definitions of Tranche 3 Milestone Date

Tranche 3 Milestone Date means the later of (a) February 15, 2025 and (b) the first date on which (i) the Company has satisfied in full the CMS Settlement and the ACO REACH Deficit Obligation, and (ii) after giving effect to the aforementioned clause (i) and the draw down in full of the available Tranche 3 Advances, the Loan Parties maintain Qualified Cash in an amount greater than or equal to Twenty-Two Million Five Hundred Thousand Dollars ($22,500,000); in each case, based upon written evidence provided to, reviewed and approved by Agent in its reasonable discretion.

Related to Tranche 3 Milestone Date

  • Milestone Date means the date set against the relevant Milestone in the Implementation Plan;

  • Milestone Event has the meaning set forth in Section 4.4(a) (Milestone Events).

  • Milestone Dates means the dates for completion of specified Project activities as contained in the Project Schedule.

  • Milestone 2 means achievement of annual Net Sales of at least $35,000,000 during any Calendar Year ending on or before December 31, 2024.

  • Milestone Payment has the meaning set forth in Section 4.2.

  • Scheduled Completion Date shall be the date set forth in Clause 10.3;

  • Milestone Schedule means Seller’s milestone schedule, the form of which is attached to this Agreement as Exhibit Q.
