Transaction Payments definition

Transaction Payments means the aggregate amount of any change in control, success, transaction, retention, severance or other similar bonuses or amounts payable by, or liabilities of, the Company arising from or that otherwise may be triggered by the transactions contemplated by this Agreement (including the employer portion of any employment or payroll Taxes related thereto).
Transaction Payments is defined in Section 5.30.
Transaction Payments means the retention bonus payments, performance bonus payments, Earn-outs and any fees, expenses and financing and other transaction costs to be paid by the Borrower under any present or future acquisition agreement.

Transaction Payments means (a) when used in reference to Westrock or any of its subsidiaries, any success, change of control, retention, transaction bonus or other similar payment or amount payable to any current or former officer, director or employee of Westrock or any of its subsidiaries or any other related party of Westrock that would (either alone or when combined with one or more additional circumstances, matters or events) become payable as a result of or in connection with the Business Combination or
Transaction Payments means any bonuses, change of control payments, non-compete payments, deferred compensation or other amounts payable to any current or former employees, directors, consultants or independent contractors of the Company or any Subsidiary of the Company as a result of the transactions contemplated by this Agreement, each of which is separately set forth on the list of all such payments that has been provided to the Buyer.
Transaction Payments includes, without limitation (i) all of the SellersTransaction Expenses, if any, and (ii) all severance, change in control, stay-pay, bonus or other similar payments to any current or former employees, officers, directors or managers of the Company or any of its Affiliates arising as a result of the Transactions, together, without duplication, with any Taxes payable as a result of such payments; except in either case to the extent such have been paid and fully discharged by the Sellers or the Company prior to the Closing.

Not included in Transaction Payments shall be any consideration attributable to the sale or transfer of physical assets, leases or inventory, and with respect to clause (a) (but not clause (b)) above, the following will not be treated as Transaction Payments: (i) payments to reimburse Licensee for research or development activities or for patent prosecution costs specific to any Licensed Product, and (ii) payments made for debt or securities of Licensee up to fair market value (with any premium on debt or securities included as “Transaction Payments” hereunder).

Transaction Payments means, without duplication of any actual amounts included in the calculation of Closing Date Debt, the aggregate amount of any and all obligations of the Acquired Companies and the Partners actually payable as a result of or in connection with the negotiation, execution or consummation of the Acquisition under any success, termination, severance, assignment, change of control, sale bonus, incentive, retention, broker, finder, financial or legal advisor or other agreement, including any legal, accounting or other advisory fees and any Taxes related to any such obligations.
