Transferred Business Employee definition

Transferred Business Employee has the meaning set forth in Section 4.4(a).
Transferred Business Employee has the meaning set forth in Section 6.5(a).
Transferred Business Employee means each Business Employee who commences or continues employment with the Company or any of the Transferred Subsidiaries immediately after the Closing Date.

  • Except to the extent required by applicable Law or otherwise provided in this Section 4.4, upon becoming a Transferred Business Employee, each Transferred Business Employee will cease (x) all active participation in and accrual of benefits under all Benefits Plans other than the Transferred Plans and (y) receiving payment of their wages from Seller and its Affiliates (excluding, for the avoidance of doubt, the Transferred Subsidiaries).

  • Buyer will have no Liability for any cash incentive compensation (including sales commissions) payable under any Benefit Plan to any individual (including any Business Employee) who is not a Transferred Business Employee.

  • Buyer and its Affiliates shall not at any time prior to ninety (90) days after the Closing Date effectuate a “plant closing” or “mass layoff” as such terms are defined in the Worker Adjustment and Retraining Notification Act of 1988 (“WARN”) or effectuate any similar triggering event under any other applicable Law, affecting in whole or in part any Transferred Business Employee.


More Definitions of Transferred Business Employee

Transferred Business Employee means each Business Employee who accepts the offer of employment made by Purchaser pursuant to Article XII hereof.
Transferred Business Employee means each Transferred Entity Employee and each Leased Employee who accepts Purchaser’s offer of employment and commences employment with Purchaser or any of its Affiliates.
Transferred Business Employee means those Business Employees, whose names are set forth on Schedule 1.1(b), to whom the Buyer, in its sole discretion, makes offers of employment, which shall (i) be contingent upon the Closing and (ii) be subject to each such Business Employee having executed and delivered to Buyer a proprietary information and invention assignment agreement and other employment-related documents required by Buyer, and who accepts such Buyer’s offer of employment.
Transferred Business Employee means and include, without limitation, each individual listed on Schedule 1.1(b) of the Seller Disclosure Letter.
Transferred Business Employee has the meaning specified in Section 8.1(a).
Transferred Business Employee means each (a) Transferred Entity Employee, (b) Offer Employee (including Delayed Transfer Employee) and(c) Automatic Transfer Employee, in each case, who becomes employed by Purchaser or any of its Affiliates (including the Transferred Entities) pursuant to Section 6.1 of this Agreement.
