Immediately following the applicable Employment Transfer Date, Purchaser shall, or shall cause its Affiliates to, provide a cash retention award to each Transferred Business Employee who held Seller equity compensation awards that were forfeited pursuant to the terms of the applicable Benefit Plans in an amount equal to the fair market value of the portion of such Seller equity compensation awards so forfeited.
Solely to the extent required by applicable Law, Seller shall pay each Transferred Business Employee all accrued but unused vacation, sick leave, personal time and paid time-off for periods prior to the Closing Date as soon as administratively practicable following the Closing Date or as otherwise required by applicable Law.
Purchaser’s employment of the Transferred Business Employees shall be deemed to commence at 11:59 p.m. on the Closing Date, without regard to whether the Transferred Business Employee is actively at work on the Closing Date in the case of an employee who on the Closing Date is absent from work due to a vacation, jury duty, funeral leave or personal day.
For clarity, notwithstanding any provision of this Agreement to the contrary, Purchaser and its affiliates shall not assume any Liabilities with respect to any Inactive Employee until and unless such Inactive Employee becomes a Transferred Business Employee.
Seller agrees to provide Buyer with service commencement date and prior compensation information with respect to each potential Transferred Business Employee as soon as practicable after the date upon which this Agreement is executed.
