Transition Employee definition

Transition Employee means each TSA Employee with respect to whom Service Provider and VS have mutually identified and agreed in writing will transfer employment from Service Provider or one of its Affiliates to VS or one of its Affiliates.

Transition Employee shall have the meaning set forth in Section 6.02(c)(ii).

Transition Employee means a current Employee who is not an Available Employee and is designated as a Transition Employee on Section 6.7(b)(2) of the Disclosure Letter.

• On or before January 31, 2009, Facet shall deliver to PDL the list of Facet Employees and Terminated Transition Employees who have earned a 2008 Merit Bonus, along with any supporting documentation requested by PDL, which list shall set forth opposite each such person's name the amount of the 2008 Merit Bonus recommended for each such Facet Employee or Terminated Transition Employee (the “Merit Bonus List”).

• COP Options granted (a “COP Specified Transition Option”) and held by a Specified Transition Employee immediately prior to the Effective Time shall be adjusted at the Effective Time such that the holder of such COP Specified Transition Option shall immediately following the Effective Time holds an adjusted option to purchase COP Common Stock (an “Adjusted COP Specified Transition Option”) and an option to purchase Xxxxxxxx 66 Common Stock (a “Xxxxxxxx 66 Specified Transition Option”).

• COP RSUs granted in 2012 (“COP Specified Transition RSUs”) and held by a Specified Transition Employee immediately prior to the Effective Time shall receive, upon the Distribution being made, such number of Xxxxxxxx 66 RSUs (“Xxxxxxxx 66 Specified Transition RSUs”) as determined by applying the Distribution Ratio in the same way as if the COP Specified Transition RSUs were fully vested shares of COP Common Stock as of the Effective Time.

• In the event that any Transition Employee's employment terminates prior to the Effective Date of Employment (as defined above), Sellers, after consulting with Purchaser, shall use commercially reasonable efforts to replace such Transition Employee in order to maintain staffing levels that are appropriate with respect to the Business.

• In the event that Sellers terminate a Transition Employee without Purchaser's consent (which consent shall not be unreasonably withheld), Sellers shall be responsible for payment of related severance costs, if any.

More Definitions of Transition Employee

Transition Employee means an employee of Seller or one of its Affiliates who is staffed primarily for purposes of facilitating the separation and divesture of the Snacks Business from P&G either (i) in connection with transactions contemplated by the Diamond Agreement or (ii) in connection with the transactions contemplated hereby.

Transition Employee means a former Participant, as to whom the responsibility and liability for the payment of benefits accrued or payable under this Plan has been assumed by a Successor Plan Sponsor.

Transition Employee means a Midstream Business Employee, other than an Executive, who becomes a Transferred Employee and whom the Acquirer designates as a “Transition Employee” in writing to the Contributor by no later than the Closing Date; provided, however, that the number of Transferred Employees that may be designated by Acquirer and treated as Transition Employees may not exceed 50 percent of the total number of Transferred Employees (rounded up to the nearest whole number).

Transition Employee means each employee of the Company who is employed by the Company as of immediately prior to the Effective Time to whom the Surviving Corporation extends an offer of short-term employment (or other similar short-term services arrangement) with the Surviving Corporation for a term of employment (or other service arrangement) with a duration of at least three (3) months following the Closing Date in connection with transition or other integration matters, which such employee accepts on or prior to the Closing Date.

Transition Employee is defined in the Transition Services Agreement.

Transition Employee shall have the meaning set forth in Section 6.7(a) of the Company Disclosure Schedule.
