Treasury Dealer definition

Treasury Dealer means Xxxxxxx, Xxxxx & Co. (or its successor) or, if Xxxxxxx, Sachs & Co. (or its successor) refuses to act as treasury dealer for this purpose or ceases to be a primary U.S. Government securities dealer, another nationally recognized investment banking firm that is a primary U.S. Government securities dealer specified by the Company for these purposes.

Treasury Dealer means Xxxxxx Xxxxxxx & Co. Incorporated (or its successors) or, if Xxxxxx Xxxxxxx & Co. Incorporated (or its successors) refuses to act as Treasury Dealer for this purpose or ceases to be a primary U.S. Government securities dealer, another nationally recognized investment banking firm that is a primary U.S. Government securities dealer specified by the Company for these purposes.

Treasury Dealer means Citigroup Global Markets Inc. (or its successor) or, if Citigroup Global Markets Inc. (or its successor) refuses to act as Treasury Dealer for the purpose of determining the Make-Whole Redemption Price or ceases to be a primary U.S. Government securities dealer, another nationally recognized investment banking firm that is a primary U.S. Government securities dealer specified by the Company for these purposes.

Examples of Treasury Dealer in a sentence

• All determinations made by any Reference Treasury Dealer, including the Quotation Agent, with respect to determining the Redemption Price will be final and binding absent manifest error.

• All determinations made by any Reference Treasury Dealer with respect to determining the Redemption Price pursuant to this Section 11.01(b) shall be final and binding on the Company, the Guarantors, the Trustee and the Holders absent manifest error.

Treasury Dealer means one of (i) Morgan Stanley & Co. LLC, Goldman, Sachs & Co., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, UBS Securities LLC and their respective successors, or (ii) a Primary Treasury Dealer selected by Wells Fargo Securities, LLC or its successor, in each case, as selected by us, or if any of the foregoing refuse to act as Treasury Dealer for this purpose or cease to be primary U.S. Government securities dealers in the United States (a “Primary Treasury Dealer”), another Primary Treasury Dealer specified by us for these purposes.

Treasury Dealer means Incapital LLC or its successors or, if the then appointed Treasury Dealer refuses or is unable to act for this purpose, a primary U.S. Government securities dealer in the United States specified by the Corporation for these purposes.

Treasury Dealer means U.S. Bank National Association (or its successor) or, if U.S. Bank National Association (or its successor) refuses to act as treasury dealer for this purpose or ceases to be a primary U.S. Government securities dealer, another nationally recognized investment banking firm that is a primary U.S. Government securities dealer specified by us for these purposes.

Incorporated (or its successor) refuses to act as treasury dealer for this purpose or ceases to be a primary U.S. Government securities dealer, another nationally recognized investment banking firm that is a primary U.S. Government securities dealer specified by us for these purposes.

Xxxxxx Securities Inc. and Xxxxxxx, Xxxxx & Co., (or their successors) refuse to act as Treasury Dealer for the purpose of determining the Make-Whole Redemption Price or ceases to be a primary U.S. government securities dealer, another nationally recognized investment banking firm that is a primary U.S. government securities dealer specified by the Issuer to act as Treasury Dealer for the purpose of determining the Make-Whole Redemption Price.

Treasury Dealer means (i) the Quotation Agent and (ii) any other Primary Treasury Dealer selected by the Debenture Trustee after consultation with the Company.
