  • In furtherance and not in limitation of the foregoing, the Tribune Entities and the Xxxxxxxx entities agree that their respective rights and obligations in respect of environmental matters as provided herein shall supersede any such rights and obligations any of them may have under existing or future law.

  • For the purposes of this letter agreement, “Competitively Sensitive Proprietary Information” shall mean confidential, secret or trade secret, or proprietary information of any of the Tribune Entities or any of the Sun Times-Related Entities that relate to the Competing Business.

  • The Tribune Entities also lease parking lots, offices, and other space which aggregate to approximately 3,567,748 square feet in approximately 166 separate locations and also lease or own towers and transmitter space in approximately 84 locations.

  • If and when any such consents shall be obtained, Tribune Parties shall, and shall cause each other Tribune Entity to, promptly assign its rights thereunder to Newco Sub without payment of consideration and Newco Sub shall, without payment of any consideration therefor, assume from and after the date of such assignment the obligations of Tribune Entities thereunder (other than the obligations thereunder arising as a result of the breach thereof at or prior to (or in connection with) such assignment).

  • For the avoidance of doubt, this provision is not intended to preclude your receipt of aggregated financial information that (i) is necessary to protect your investment in Sun Times-Related Entities and (ii) in the judgment of the General Counsel of Wrapports, would not be relevant to decisions or judgments that you may make with respect to the Tribune Entities.

  • During the pendency of the Chapter 11 Cases, the Tribune Entities pursued and consummated certain transactions pursuant to which the Chicago Cubs and related assets and liabilities, including the Company’s 25.34% interest in CSN Chicago, were contributed to a newly formed limited liability company, Chicago Baseball Holdings, LLC and its subsidiaries (collectively, “New Cubs LLC”).

Related to Tribune Entities

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Target Companies means the Company and its Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Company Entities means the Company and the Company Subsidiaries.

  • Seller Parent has the meaning set forth in the Preamble.

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • Parent Parties means Parent and Merger Sub.

  • Group Companies means the Company and its Subsidiaries.

  • Parent means a "parent corporation," whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • PRC Entities means the PRC Subsidiaries and the Consolidated Affiliated Entities collectively.

  • CBC means the Collective Bargaining Committee

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • CBI means Central Bureau of Investigation

  • Bank Entities is defined in Section 12.9.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.
