TRUSTEE PROVISIONS is defined in Section 4.1 of the Collateral Maintenance Agreement.
TRUSTEE PROVISIONS. Insert the following new Section 15, after Section 14: PARTY B'S LIMITATION OF LIABILITY (a) (LIMITATION ON PARTY B'S LIABILITY): Party B enters into this Agreement only in its capacity as trustee of the Fund and in no other capacity. A liability incurred by Party B acting in its capacity as trustee of a Warehouse Fund or Sub-Fund arising under or in connection with this Agreement is limited to and can be enforced against Party B only to the extent to which it can be satisfied out of the assets of the Warehouse Fund or Sub-Fund out of which Party B is actually indemnified for the liability. This limitation of Party B liability applies despite any other provision of this Agreement (other than Section 15(c)) and extends to all liabilities and obligations of Party B in any way connected with any representation, warranty, conduct, omission, agreement or transaction related to this Agreement. (b) (CLAIMS AGAINST PARTY B): The parties other than Party B may not xxx Party B in respect of liabilities incurred by Party B acting in its capacity as trustee of a Warehouse Fund or Sub-Fund in any other capacity other than as trustee of that Warehouse Fund or Sub-Fund, including seek the appointment of a receiver (except in relation to assets of that Warehouse Fund or Sub-Fund), a liquidator, an administrator, or any similar person to Party B or prove in any liquidation, administration or arrangements of or affecting Party B (except in relation to the assets of that Warehouse Fund or Sub-Fund).

  • Trustee Agreement means the trustee agreement entered into on or before the First Issue Date, between the Issuer and the Trustee, or any replacement trustee agreement entered into after the First Issue Date between the Issuer and a trustee, regarding, inter alia, the remuneration payable to the Trustee or a replacement trustee.

  • U.S. Trustee Fees means fees arising under 28 U.S.C. § 1930(a)(6) and, to the extent applicable, accrued interest thereon arising under 31 U.S.C. § 3717.

  • Trustee Fee As to any Distribution Date, an amount equal to one-twelfth of the Trustee Fee Rate multiplied by the Pool Stated Principal Balance with respect to such Distribution Date.

  • Owner Trustee Fee means an annual fee equal to $3,000, payable on the Payment Date occurring in May of each year, commencing in May 2020.

For the avoidance of doubt, the Trustee/Certificate Administrator Fee shall be payable from the Lower-Tier REMIC.

  • Basic Lease Provisions means and refer to the following collective terms, the application of which shall be governed by the provisions in the remaining Articles of this Lease.

  • Bond Trustee Fee Agreement means the agreement entered into between the Issuer and the Bond Trustee relating among other things to the fees to be paid by the Issuer to the Bond Trustee for its obligations relating to the Bonds.

  • Trust Indenture Any indenture pursuant to which any MBS was issued. Trustee: The Federal National Mortgage Association, in its capacity as trustee of each Trust formed hereunder, or its successor in interest in such capacity, or any successor trustee appointed as herein provided.

  • NIM Trustee The trustee for the NIM Securities.
