Examples of TSG Investors in a sentence

  • The Shares to be sold by the Direct TSG Investors hereunder have been duly authorized by the Company and duly and validly issued, fully paid and nonassessable and conform in all material respects to the descriptions thereof in the Registration Statement, the Pricing Disclosure Package and the Prospectus.

  • Except as otherwise provided herein, no termination modification, amendment or waiver of any provision of this Agreement shall be effective without the approval of the Company and the TSG Investors.

  • If not otherwise stipulated, this Agreement shall terminate automatically (without any action by any party hereto) at such time that the TSG Investors no longer has the right to recommend any nominee(s) to the Board for election as Directors and/or the written consent of the parties hereto (which consent shall not be unreasonably withheld or delayed).

  • In the absence of any designation from the TSG Investors as specified above, the director previously designated by them and then serving shall be reelected if willing to serve unless such individual has been removed as provided herein, and otherwise such Board seat shall remain vacant until otherwise filled as provided above.

  • The TSG Investors shall have the exclusive right to designate for election to the Board Directors to fill vacancies created by reason of death, removal or resignation of the Separate Directors, and the Company shall take all Necessary Action to cause any such vacancies to be filled by replacement Directors designated in writing by the TSG Investors as promptly as reasonably practicable, subject to the restrictions set forth in Section 2.1(a).

  • The TSG Investors may terminate this agreement at any time by written notice to the Company.

  • Any TSG Designee may share any information received in his or her capacity as a Board member with the TSG Investors.

Related to TSG Investors

  • Lead Investors means collectively, BlackRock, GSO, Magnetar and, solely for purposes of Section 2.02(b), Investment Partners V (II), LLC.

  • Existing Investors shall have the meaning given in the Preamble hereto.

  • PIPE Investors means those certain investors participating in the PIPE Investment pursuant to the Subscription Agreements.

  • Co-Investors means each of (a) the Fund and the Fund Affiliates (excluding any of their portfolio companies) and (b) the Management Group.

  • Majority Investors means, as of any date, the holders of a majority of the Investor Shares outstanding on such date.

  • Key Holders means the persons named on Schedule B hereto, each person to whom the rights of a Key Holder are assigned pursuant to Subsection 3.1, each person who hereafter becomes a signatory to this Agreement pursuant to Subsection 6.9 or 6.17 and any one of them, as the context may require.

  • CD&R Investors collectively, (i) CD&R Fund VIII, (ii) CD&R Friends & Family Fund VIII, L.P., a Cayman Islands exempted limited partnership, and any successor in interest thereto, and (iii) any Affiliate of any CD&R Investor identified in clauses (i) and (ii) of this definition.

  • Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.

  • Other Investors shall have the meaning set forth in the Preamble.

  • Participating Investor any Participating Account, Participating Insurance Company or Participating Plan, including the Account and the Company.

  • Majority Stockholders means any Stockholder or combination of Stockholders who at the date of this Agreement own shares of Company Common Stock representing more than two-thirds of the total number of shares of Company Common Stock outstanding at the date of this Agreement.

  • Equity Holders means the Stockholders and the Option Holders.

  • Investors means the Initial Investors and any transferee or assignee who agrees to become bound by the provisions of this Agreement in accordance with Section 9 hereof.

  • Requesting Investor has the meaning set forth in Section 7.5 of the Indenture.

  • Lead Investor means Cavalry Fund I LP.

  • Majority Shareholders means Xxxxxxx X. Xxx and Xxxxxxx X. Xxxxxxx.

  • Other Shareholders means persons who, by virtue of agreements with the Company other than this Agreement, are entitled to include their securities in certain registrations hereunder.

  • Existing Stockholders means the stockholders of the Corporation immediately prior to the IPO as listed on Schedule A (including the Existing Stockholders Representative in its capacity as an Existing Stockholder) together with any Permitted Assignees.

  • Equity Investors means the Sponsors and the Management Stockholders.

  • Selling Holders means, with respect to a specified registration pursuant to this Agreement, Holders whose Registrable Securities are included in such registration.

  • Majority Holders means the Holders of a majority of the aggregate principal amount of Securities registered under a Registration Statement.

  • Other Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their securities in certain registrations hereunder.

  • Initiating Holders means, collectively, Holders who properly initiate a registration request under this Agreement.

  • Preferred Holders means the record owners of outstanding Preferred Securities.

  • Initial Holders has the meaning set forth in the preamble.

  • Eligible Holders has the meaning set forth in Section 2.01(a).
