HPA means the Current HPA, as further amended by this Amendment.
BMS means the Company, all related companies, affiliates, subsidiaries, parents, successors, assigns and all organizations acquired by the foregoing.
ISIS means the department’s individualized services information system.
Royalties means all royalties, fees, expense reimbursement and other amounts payable by a Loan Party under a License.
Siemens means Siemens AG (Germany) and its Affiliates.
Third Party Royalties means royalties payable by either Party to a Third Party in connection with the manufacture, use or sale of Franchise Products.
Sublicense Revenue means [***].
Novartis shall have the meaning set forth in the Preamble.
Royalty means an interest in an oil and natural gas lease that gives the owner of the interest the right to receive a portion of the production from the leased acreage (or of the proceeds of the sale thereof) but generally does not require the owner to pay any portion of the costs of drilling or operating the wells on the leased acreage.
Merck has the meaning set forth in the preamble.
DSM means the most current edition of the Diagnostic and Statistical Manual of Mental Disorders published by the American Psychiatric Association.
Licensed producer means an agent, broker, or reinsurance intermediary licensed pursuant to the applicable provision of the insurance law of any jurisdiction.
GSK or ‘𝐺𝑆𝐾’ means the generation shift key as defined in Article 2(12) of the CACM Regulation;
Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.
Licensee means a person licensed under this chapter.
PHS means the U.S. Public Health Service, an operating component of the DHHS.
Royalty Payments has the meaning set forth in Section 7.3.1.
Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.
Licensed System means, collectively:
Licensed Services means all functions performed by the Licensed System.
Sublicense Revenues means [***].
Sublicensing Revenue means all fees, royalties and other compensation paid to LICENSEE by any Sublicensee for performing any rights or licenses which are subject to this Agreement. If the compensation is other than cash, then the Sublicensing Revenue shall be the cash equivalent of such other than cash compensation.
Licensed Processes means processes which, in the course of being practiced, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.
Sublicense Fees shall have the meaning set forth in Section 7.3 below.
Research-based means a program or practice that has some research demonstrating effectiveness, but that does not yet meet the standard of evidence-based practices.
Licensee Technology means the Licensee Know-How and Licensee Patents.
