Tudor Entity definition

Tudor Entity or "Tudor Entities" means each of the following: Tudor Private Equity Fund, L.P., Tudor Arbitrage Partners, L.P., Tudor BVI Futures, Ltd., Raptor Global Fund, L.P., Raptor Global Fund Ltd., Raptor Global Portfolio, Ltd., ALTAR Rock Fund, L.P. or any funds or other investment vehicles or entities of which any of the foregoing entities are Affiliates, or any Affiliate or Affiliated Group of Tudor Investment Corporation and/or Tudor Global Trading, Inc.
Tudor Entity means Tudor Investment Corporation and its Affiliates (including all mutual funds or other pooled investment vehicles or entities under the control or management of Tudor Investment Corporation or any of its affiliates, including without limitation any of the following: Altar Rock Fund, L.P., Tudor Private Equity Fund, L.P., Tudor Arbitrage Partners, L.P., Tudor BVI Futures, Ltd., Raptor Global Portfolio, L.P., Raptor Global Portfolio, Ltd., Raptor Global Fund, L.P. and Raptor Global Fund Ltd., or any funds or other investment vehicles or entities of which any of the foregoing entities are Affiliates, or any Affiliate or Affiliated Group of Tudor Investment Corporation and/or Tudor Global Trading, Inc.) and members of its Affiliated Group, collectively. THE PARTIES HEREBY AGREE AS FOLLOWS:

Examples of Tudor Entity in a sentence

  • For purposes of determining whether, for any provision hereof, the number of shares of Series B Preferred held by any person or entity is sufficient to meet a required threshold, such person or entity shall be deemed to hold the number of shares of Series B Preferred held by its Group (including but not limited to in the case of any Tudor Entity, any shares of Series B Preferred Stock held by any other Tudor Entity).

  • PREPARATION OF THE CRACKS AND JOINTS SHALL BE IN ACCORDANCE WITH THE SEALANT MANUFACTURERS RECOMMENDATIONS AND STANDARD SPECIFICATION SECTION 415.

  • For the purposes of this Section 3.15, "affiliates" shall include all mutual funds or other pooled investment vehicles or entities under the control or management of any Investor (including as to any Tudor Entity, without limiting the foregoing, every other Tudor Entity and the affiliated investment vehicles of Tudor and its Affiliates).

  • For purposes of determining whether a holder has met the Ownership Threshold, a person or entity shall be deemed to hold the number of shares of Series B Preferred owned by such person and any of its Affiliates (as defined in the Purchase Agreement) and in the case of any Tudor Entity (as defined in the Purchase Agreement), such Tudor Entity shall be deemed to hold the number of shares of Series B Preferred held by such Tudor Entity and any of its Affiliates and other Tudor Entities.

  • For purposes hereof "Tudor Entity" shall mean each of the following: Tudor Private Equity Fund, L.P., Tudor Arbitrage Partners, L.P., Tudor BVI Futures, Ltd., Raptor Global Fund, L.P., Raptor Global Fund Ltd.

  • For purposes of determining whether, for any provision hereof, the number of shares of Series C Preferred held by any person or entity is sufficient to meet a required threshold, such person or entity shall be deemed to hold the number of shares of Series C Preferred held by its Group (including but not limited to in the case of any Tudor Entity, any shares of Series C Preferred Stock held by any other Tudor Entity).

  • Sponsor Entities means (i) WHR Holdings, LLC, Esquisto Holdings, LLC, WHE AcqCo Holdings, LLC, WildHorse Investment Holdings, LLC, Esquisto Investment Holdings, LLC, NGP IX Holdings, L.P., NGP X US Holdings, L.P., NGP XI Holdings, L.P., and CP VI Eagle Holdings, L.P. and (ii) any of their respective Affiliates and any investment fund or other Person advised or managed by any Sponsor Entity, in each case, which owns or owned a direct or indirect interest in the Company; provided, however, that neither the Company nor any of its subsidiaries shall be considered Sponsor Entities hereunder.

  • Surviving Business Entity has the meaning assigned to such term in Section 14.2(b).

  • Business Entity means a natural or legal person, business corporation, professional services corporation, limited liability company, partnership, limited partnership, business trust, association or any other legal commercial entity organized under the laws of this State or of any other state or foreign jurisdiction;

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Parent Subsidiary means any Subsidiary of Parent.

  • Person or Entity means an individual, natural person, corporation, government or political subdivision or agency of a government, and where two or more persons act as a partnership, limited partnership, syndicate or other group for the purpose of acquiring, holding or disposing of securities of an issuer, such partnership, limited partnership, syndicate or group shall be deemed to be a Person or Entity.

  • Predecessor Entity means a legal entity the existence of which ceased upon its acquisition by the Corporation in a merger or otherwise; and

  • Nonprofit entity means any entity organized and operated exclusively for charitable purposes, or operated by the Federal Government, the State, or any political subdivision of the State.

  • Public Company means any Person with a class or series of Voting Stock that is traded on a stock exchange or in the over-the-counter market.

  • Subsidiary Entity means a person that is controlled directly or indirectly by another person and includes a subsidiary of that subsidiary;

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • Company Subsidiary means any Subsidiary of the Company.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Acquisition Subsidiary shall have the meaning ascribed to it in the preamble hereto.

  • Resident unincorporated business entity means an unincorporated business entity having an office or place of business within the Municipality.

  • Entity means a corporation, partnership, limited liability company or other entity.

  • School District/Public Entity means the School District/Public Entity that executes the contract.

  • Controlled Group of Corporations has the meaning set forth in Code Section 1563.

  • parent financial holding company in a Member State means a financial holding company which is not itself a subsidiary of an institution authorised in the same Member State, or of a financial holding company or mixed financial holding company set up in the same Member State;

  • Member Company means a “service recipient” as defined in Treasury Regulation § 1.409A-1(h)(3).

  • Performing Common Equity means Capital Stock (other than Preferred Stock) and warrants of an issuer all of whose outstanding debt is Performing.

  • Affiliated group of corporations means an affiliated group as defined in section 1504 of the Internal Revenue Code, except that, if such a group includes at least one incumbent local exchange carrier that is primarily engaged in the business of providing local exchange telephone service in this state, the affiliated group shall not include any incumbent local exchange carrier that would otherwise be included in the group.

  • Parent Group has the meaning set forth in Section 8.03(c).
