TUPE Employees definition

TUPE Employees means such of the Employees whose employment is deemed to transfer to the Acquiror on Closing pursuant to the Transfer Regulations.
TUPE Employees means NL TUPE Employees and the Singapore TUPE Employees jointly, as listed in Schedule 18 (Employees);
TUPE Employees has the meaning set forth in Section 5.1(a).

  • As soon as is reasonably practicable following the provision of such updated copy, the Parties shall attach the Personnel Annex as at the Relevant Vesting Day to Appendix 1 of this Schedule 7 (TUPE, Employees and Pensions).

More Definitions of TUPE Employees

TUPE Employees means each Business Employee (a) who is employed by a Seller Party rather than a Target Company, and (b) the transfer of employment of which is reasonably determined by Seller Parent to be subject to the Transfer Regulations.
TUPE Employees means the IME/Editorial Employees as defined in the Network Services Agreement.
TUPE Employees means, as of any determination time, each Applicable Employee employed in (a) a country that is a member of the European Union, (b) Mexico, (c) Singapore, (d) Turkey, (e) Ukraine or (f) the United Kingdom.
TUPE Employees means any person whose contract of employment may be transferred to a successor contractor, operator or maintainer by virtue of the operation of Law (including the TUPE Regulations) or in respect of whom liabilities arising from the contract of employment or employment relationship may be transferred;
TUPE Employees shall have the meaning ascribed thereto in Section 3.13(f).

Related to TUPE Employees

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Designated Employees means a person occupying any of the following position in the Company:

  • Hired Employees shall have the meaning set forth in Section 7.5(a).

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Key Employees means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxx.

  • Eligible Employees means each employee of the Company or an Affiliate.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Casual Employees are employed on an "on call" basis to cover absences due to sick leave, vacation, or other approved leaves, or to augment staff during peak periods or periods of staff shortage.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Excluded Employees has the meaning set forth in Section 14.1.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Relevant Employees means the employees who may be affected by a change referred to in subclause (1).

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.
