UAF Relevant Indebtedness definition

UAF Relevant Indebtedness means any indebtedness (whether being principal, premium, interest or other amounts) for or in respect of any notes, bonds, debentures, debenture stock, loan stock or other securities or any borrowed money or any guarantee or indemnity against financial loss of any person granted by UAF or any of UAF’s Subsidiaries or any derivative transactions entered into by UAF or any of UAF’s Subsidiaries (and when calculating the value of any derivative transaction, only the marked-to-market value shall be taken into account) or any liability under or in respect of any acceptance or acceptance credit or receivables sold or discounted (otherwise than on a non-recourse basis) or any financing lease entered into primarily as a method of raising finance or financing the acquisition of an asset.

Related to UAF Relevant Indebtedness

  • Relevant Indebtedness means any Indebtedness which is in the form of or represented by any bond, note, debenture, debenture stock, loan stock, certificate or other instrument which is, or is capable of being, listed, quoted or traded on any stock exchange or in any securities market (including, without limitation, any over-the-counter market);

  • Balloon Indebtedness means Long-Term Indebtedness, 25% or more of the original principal amount of which becomes due (either by maturity or mandatory redemption) during any consecutive twelve-month period, if such principal amount becoming due is not required to be amortized below such percentage by mandatory redemption or prepayment prior to such twelve-month period.

  • Secured Indebtedness means any Indebtedness secured by a Lien.

  • Indebtedness means, as to any Person at a particular time, without duplication, all of the following, whether or not included as indebtedness or liabilities in accordance with GAAP:
