UK Pension Schemes means the Cott Beverages Limited Retirement & Death Benefits Scheme and the Xxxxx Bros (Tattenhall) Limited 1982 Retirement Benefits Scheme.

UK Pension Schemes means the UK DB Pension Scheme.

UK Pension Schemes means the following: (I) the Spirent Staff Pension and Life Assurance Plan (the "Staff Plan"); and (II) the Spirent Retirement Cash and Life Assurance Plan (the "Cash Plan").

UK Pension Schemes means the Target Group’s group personal pension scheme provided through Scottish Widows and which is registered under Chapter 2 of Part 4 of the Finance Xxx 0000 (the “Scottish Widows GPP”) and the life assurance scheme provided through Canada Life established with effect from 20 December 1999. US Pension Arrangement means the SPTS Technologies, Inc. 401 (k) Plan and the Xactix Inc. 401 (k) Profit Sharing Plan & Trust.

UK Pension Schemes means all of (a) the Dxxx Manufacturing Group pension Scheme established by a trust deed dated 8 June 1993, (b) the Hobourn Group Pension Scheme established by a trust deed dated 22 December 1983, (c) the Dxxx UK Pension Scheme, established by a trust deed dated 5 April 1996 and (d) the Q. H. Pension Plan, established by a trust deed dated 25 June 1957.

UK Pension Schemes means the Cott Beverages Limited Retirement & Death Benefits Scheme and the Xxxxx Bros (Tattenhall) Limited 1982 Retirement Benefits Scheme. “UK Resolution Authority” means the Bank of England or any other public administrative authority having responsibility for the resolution of any UK Financial Institution. “UK Security Agreement” means any Security Agreement governed by the laws of any legal jurisdiction of the UK. “Unaudited Financial Statements” means unaudited interim consolidated financial statements for the fiscal quarter ending September 30, 2019. “Uniform Commercial Code” or “UCC” means the Uniform Commercial Code as the same may from time to time be in effect in the State of New York or the Uniform Commercial Code (or similar code or statute) of another jurisdiction (including a Personal Property Security Act applicable in Canada or the Civil Code of Quebec), to the extent it may be required to apply to any item or items of Collateral. “United States” and “U.S.” mean the United States of America. “United States Tax Compliance Certificate” has the meaning specified in Section 3.01. “Unreimbursed Amount” has the meaning specified in Section 2.03(c)(i). 77 #96352060v15 #96352060v15
