UK Secured Obligations definition

UK Secured Obligations means (a) all Obligations owing by any UK Loan Party, (b) all Banking Services Obligations owing by any UK Loan Party and (c) Swap Obligations owing by any UK Loan Party, in each case, to one or more UK Revolving Lenders or their respective Affiliates; provided that at or prior to the time that any transaction relating to a Swap Obligation is executed, the UK Revolving Lender or Affiliate thereof party thereto (other than Chase UK) shall have delivered written notice to the Administrative Agent that such a transaction has been entered into and that it constitutes a UK Secured Obligation entitled to the benefits of the Collateral Documents.
UK Secured Obligations means all UK Obligations, together with all (a) Banking Services Obligations of the UK Borrowers owing to one or more Qualified Counterparties and (b) Swap Obligations of the UK Borrowers owing to one or more Qualified Counterparties; provided, however, that the definition of “UK Secured Obligations” shall not create any guarantee by any Loan Party of (or grant of security interest by any Loan Party to support, as applicable) any Excluded Swap Obligations of such Loan Party for purposes of determining any obligations of any Loan Party.
UK Secured Obligations all Secured Obligations of the UK Loan Parties (including, for the avoidance of doubt, the Secured Obligations of the UK Loan Parties as Guarantors of any Canadian Secured Obligations).

  • Solely for purposes of determining the amount of UK Loans available for borrowing purposes, checks and cash or other immediately available funds from collections of items of payment and proceeds of any UK Collateral shall be applied in whole or in part against the UK Secured Obligations, on the Business Day after receipt, subject to actual collection.

  • Only monies actually paid by a Receiver to the Collateral Agent in relation to the UK Secured Obligations shall be capable of being applied by the Collateral Agent in discharge of the UK Secured Obligations.

  • As from that time all payments made to the Collateral Agent or such other Lender Party will be credited or be treated as having been credited to the new account and will not operate to reduce any amount of the UK Secured Obligations.

UK Secured Obligations means the U.K. Factoring Facility and the U.K. Hire Purchase Facility.

UK Secured Obligations includes obligations and liabilities which would be treated as such but for the liquidation or dissolution of or similar event affecting the Company;
UK Secured Obligations means XCE's obligations to pay the "Secured Sums" as defined in the UK Security Agreement.

  • U.S. Secured Obligations means, collectively, (a) the US Obligations and (b) all existing or future payment and other obligations owing by any US Credit Party under (i) any Secured Hedge Agreement with a US Hedge Bank and (ii) any Secured Cash Management Agreement with a US Cash Management Bank.

  • Issuer Secured Obligations means the Insurer Issuer Secured Obligations and the Trustee Issuer Secured Obligations.

  • Foreign Obligations means any Obligations of a Foreign Borrower or Foreign Guarantor (in each case in its capacity as such).

  • DIP Obligations means “DIP Obligations” as defined in the DIP Order.

  • Guarantied Obligations and "Secured Obligations," as the case may be (in each case as such terms are defined in the applicable Credit Support Document), including without limitation the payment and performance of all such "Obligations," "Guarantied Obligations" or "Secured Obligations," as the case may be, in respect of the Obligations of the Borrowers now or hereafter existing under or in respect of the Amended Agreement. Each Credit Support Party acknowledges and agrees that any of the Credit Support Documents to which it is a party or otherwise bound shall continue in full force and effect and that all of its obligations thereunder shall be valid and enforceable and shall not be impaired or limited by the execution or effectiveness of this Amendment. Each Credit Support Party represents and warrants that all representations and warranties contained in the Amended Agreement and the Credit Support Documents to which it is a party or otherwise bound are true, correct and complete in all material respects on and as of the Second Amendment Effective Date to the same extent as though made on and as of that date, except to the extent such representations and warranties specifically relate to an earlier date, in which case they were true, correct and complete in all material respects on and as of such earlier date. Each Credit Support Party (other than the Borrowers) acknowledges and agrees that (i) notwithstanding the conditions to effectiveness set forth in this Amendment, such Credit Support Party is not required by the terms of the Credit Agreement or any other Loan Document to consent to the amendments to the Credit Agreement effected pursuant to this Amendment and (ii) nothing in the Credit Agreement, this Amendment or any other Loan Document shall be deemed to require the consent of such Credit Support Party to any future amendments to the Credit Agreement.

  • Junior Obligations means the Junior Obligations of the Guarantor and the Junior Obligations of the Issuer;

  • Guaranteed Obligations has the meaning set forth in Section 11.01.

  • Senior Obligations is defined in Section 5.1 of this Agreement.
