The inventories set forth in the Business Balance Sheet, Unaudited Full Year Financials, Unaudited Interim Financials, Audited Financials and Reviewed Financials were, and in the Monthly Financials will be when delivered, properly stated therein at the lesser of cost or fair market value determined in accordance with GAAP consistently maintained and applied by Seller.
The Earthstone Parties shall promptly reimburse Seller for all Third Party costs and expenses incurred by Seller or its Affiliates in compliance with this Section 6.12 including, without limitation, all fees and expenses of the public accounting firm conducting the audit of the Audited Financials and the review of the Unaudited Interim Financials contemplated by this Section 6.12.

SCHEDULE 4.1(g)(1)(A) contains true and complete copies of (i) the Unaudited Interim Financials, and (ii) the Audited Financials (collectively, the "FINANCIAL STATEMENTS").
