Uncompensated Curtailment definition

Uncompensated Curtailment means a curtailment arising out of or resulting from: (i) Seller’s scheduled outages of the Facility, a Forced Outage of the Facility or any part thereof; (ii) during an Emergency Condition or Force Majeure on the NorthWestern System, the Facility or the Transmission Provider’s System; (iii) a request of the Transmission Provider or Transmission Authority; (iv) an order of a Governmental Agency or Transmission Authority for any reason, provided that such order is not the result of any negligence or intentional act on the part of Northwestern; or (v) any restriction imposed upon the delivery of Energy prior to final completion of Network Upgrades or Distribution Upgrades.

The method set forth in this Section for determining who is a "Highly Compensated Former Employee" shall be applied on a uniform and consistent basis for all purposes for which the Code Section 414(q) definition is applicable.

  • Excess Deferrals means, with respect to any taxable year of a Participant, either (a) those elective deferrals within the meaning of Code §§402(g) or 402A that are made during the Participant's taxable year and exceed the dollar limitation under Code §402(g) (including, if applicable, the dollar limitation on Catch-Up Contributions defined in Code §414(v)) for such year; or (b) are made during a calendar year and exceed the dollar limitation under Code §§402(g) and 402A (including, if applicable, the dollar limitation on Catch-Up Contributions defined in Code §414(v)) for the Participant's taxable year beginning in such calendar year, counting only Elective Deferrals made under this Plan and any other plan, contract or arrangement maintained by the Employer.

  • Employer Contribution means the amount paid by an employer, as determined by the employer rate, including the normal and deficiency rates, contributions, and funds wherever used in this chapter.

  • Eligible Earnings means the Grantee's base salary (prior to any deferrals under a cash or deferred compensation plan sponsored by the Corporation or an Affiliate) paid during the Plan Year. From time to time the Plan Administrator may, in its sole discretion, establish rules for determining the amounts of Eligible Earnings for employees who become Grantees other than on the first day of a Plan Year as well as any reduction of Eligible Earnings as a result of paid leave of absences.
