Underwriter Options definition

Underwriter Options means the options issued by Chardan to its underwriters as a portion of the consideration paid to them in connection with Chardan’s initial public offering, each Underwriter Option giving the holder the right to purchase for $8.80 a unit of Chardan’s securities consisting of one Chardan ordinary share and a warrant to purchase an additional Chardan ordinary share for $5.00.
Underwriter Options has the meaning set forth in Section 6.3 hereof.
Underwriter Options means options issued by Chardan to the underwriters in its initial public offering to purchase units consisting of Chardan Ordinary Shares and Chardan Warrants.

  • The issue of the Underwriter Options does not fit within any of the exceptions set out in Listing Rule 7.2 and, as it has not yet been approved by Shareholders, it effectively uses up part of the 15% limit in Listing Rule 7.1, reducing the Company’s capacity to issue further equity securities without Shareholder approval under Listing Rule 7.1 for the 12 month period following the date of issue of the Underwriter Options.

Underwriter Options means the options to be issued to the Underwriter, subject to receipt of approval of the Company's shareholders, pursuant to clause 7.1(a) and on the terms set out in Annexure C.

Related to Underwriter Options

  • Underwriters' Securities means the Offered Securities other than Contract Securities.

  • Offering Shares means the shares of Common Stock included in the Units issued pursuant to this Agreement and Investor Warrant Shares.

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Piggyback Shares has the meaning ascribed to such term in Section 2.3(a)(iii).

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Other Shares means at any time those shares of Common Stock which do not constitute Primary Shares or Registrable Shares.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Underwriter Group shall have the meaning set forth in Section 9.2(b).

  • Underwriters means the underwriters named in Schedule A to the Underwriting Agreement.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Sponsors’ Warrants means the warrants that are being sold privately by the Company simultaneously with the consummation of the IPO; and (vi) “Trust Fund” shall mean the trust fund into which a portion of the net proceeds of the Company’s IPO will be deposited.

  • Rights Offering Shares means the shares of New Common Stock (including all Unsubscribed Shares purchased by the Commitment Parties pursuant to this Agreement) distributed pursuant to and in accordance with the Rights Offering Procedures.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Underwriters’ Maximum Number means, for any Piggyback Registration, Demand Registration or other registration which is an underwritten registration, that number of securities to which such registration should, in the opinion of the managing underwriters of such registration in the light of marketing factors, be limited.

  • Insider Shares means all shares of Common Stock of the Company owned by an Insider immediately prior to the Company’s IPO. For the avoidance of doubt, Insider Shares shall not include any IPO Shares purchased by Insiders in connection with or subsequent to the Company’s IPO.

  • IPO Underwriter means each Person named as an underwriter in Schedule I to the IPO Underwriting Agreement who purchases Common Units pursuant thereto.

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement;

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Investor Warrants has the meaning given it in the recitals of this Agreement.

  • Available Securities means the securities of the Funds that are available for Loans pursuant to Section 3.

  • SPAC Warrants means SPAC Private Warrants and SPAC Public Warrants, collectively.

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Company Underwriter has the meaning set forth in Section 4(a).

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to five (5) years from the initial exercise date, in substantially the form of Exhibit A attached hereto.

  • Underwriter means a securities dealer who purchases any Registrable Securities as principal in an Underwritten Offering and not as part of such dealer’s market-making activities.
