Unit Market Price definition

Unit Market Price means the sum of the Class A Market Price and the Preferred Market Price.
Unit Market Price means the sum of the Class A Market Price and the Preferred Market Price. “United States” means the United States of America, its territories and possessions.
Unit Market Price means the average closing price of the Common Units on the Nasdaq Global Select Market over the ten trading days immediately preceding the first public announcement by Parent of the terms of this Agreement.

  • Holders of Preferred shares whose shares are surrendered for retraction will be entitled to receive a retraction price per Preferred share equal to 95 percent of the lesser of (a) the NAV per Unit determined as of the relevant valuation date less the cost to the Fund of the purchase of a Class A share in the market for cancellation; (b) the Unit Market Price less the cost to the Fund of purchasing a Class A share in the market for cancellation; and (c) $10.00.

  • A holder retracting a Capital Unit alone on a monthly Valuation date (other than December) will receive a retraction price per Capital Unit equal to 95 percent of the lesser of (i) the Combined Value less the aggregate cost to purchase a Preferred Security in the market and $0.50; and (ii) the Capital Unit Market Price (as defined below).

More Definitions of Unit Market Price

Unit Market Price per Unit at any date shall mean the sum of (i) the Ordinary Share Market Price, which shall mean either (A) if the Ordinary Shares are publicly traded, the last sale price of the Ordinary Shares in the principal trading market for the Ordinary Shares as reported by such principal trading market, or, if such last sale price is not reported, the average of the reporting closing bid and asked prices of the Ordinary Shares, or (B) if the Ordinary Shares are not publicly traded, the market price per Ordinary Share as determined in good faith by the board of directors of the Company, plus (ii) four times the amount by which the Ordinary Share Market Price exceeds the exercise price of a Share Warrant forming part of this Unit Warrant.
Unit Market Price of the Trust Units at any date means the volume-weighted average of the trading prices per Trust Unit for the ten (10) consecutive trading days immediately preceding such date, and the ten (10) consecutive trading days from and including such date, on the TSX, or if on such date the Trust Units are not listed on the TSX, on the principal stock exchange upon which such Trust Units are listed; provided however that such trading prices shall be appropriately adjusted to take into account any Unit splits, consolidations or similar reorganizations or changes to capital.
Unit Market Price of the Trust Units at any date means the weighted average of the trading price per Trust Unit for such Trust Units for the ten (10) consecutive trading days immediately preceding such date and the ten (10) consecutive trading days from and including such date, on the TSX or, if on such date the Trust Units are not listed on the TSX, on the principal stock exchange upon which such Trust Units are listed, or, if such Trust Units are not listed on any stock exchange then on such over-the-counter market as may be selected for such purposes by the Board of Directors.
Unit Market Price shall be deemed the "Market Price", as herein defined, of the Warrant Securities, as defined in Section 4 below. The "Market Price" at any date shall be deemed to be the last reported sale price, or, in case no such reported sale takes place on such day, the average of the last reported sale prices for the preceding trading day, in either case as officially reported by the principal securities exchange on which the Company's Common Stock and/or the Warrants, as the case may be, are listed or admitted to trading or as reported in the Nasdaq National Market System, or, if the Common Stock and/or the Unit Warrants are not listed or admitted to trading on any national securities exchange or quoted on the Nasdaq National Market System, the last reported sale price as furnished by the National Association of Securities Dealers, Inc. through Nasdaq or similar organization if Nasdaq is no longer reporting such information, or if the Common Stock and/or the Unit Warrants are not quoted on Nasdaq, as determined in good faith by resolution of the Board of Directors of the Company, based on the best information available to it for the day immediately preceding the Exchange Date.

Related to Unit Market Price

  • Current Market Price shall have the meaning set forth in Section 11(d) hereof.

  • Market Price as of any date, (i) means the average of the last reported sale prices for the shares of Common Stock on the OTCBB for the five (5) Trading Days immediately preceding such date as reported by Bloomberg, or (ii) if the OTCBB is not the principal trading market for the shares of Common Stock, the average of the last reported sale prices on the principal trading market for the Common Stock during the same period as reported by Bloomberg, or (iii) if market value cannot be calculated as of such date on any of the foregoing bases, the Market Price shall be the fair market value as reasonably determined in good faith by (a) the Board of Directors of the Company or, at the option of a majority-in-interest of the holders of the outstanding Warrants by (b) an independent investment bank of nationally recognized standing in the valuation of businesses similar to the business of the corporation. The manner of determining the Market Price of the Common Stock set forth in the foregoing definition shall apply with respect to any other security in respect of which a determination as to market value must be made hereunder.

  • Per Share Price shall have the meaning set forth in Section 2.1.

  • Closing Price has the meaning assigned to such term in Section 15.1(a).

  • Sale Price means the value as determined by the Administrator of the consideration payable, or otherwise to be received by stockholders, per share of Stock pursuant to a Sale Event.
