Unpaid Compensation definition

Unpaid Compensation means any of the following:
Unpaid Compensation means any unpaid compensation or reimbursement that has been allowed by a court order, less any funds held in a client trust account for the
Unpaid Compensation means all amounts owed to the Company or the Surviving Corporation by PacBell or GTE pursuant to the Company's interconnection arrangements with such parties (whether pursuant to an interconnection agreement or otherwise) which have not been paid to the Company or the Surviving Corporation.

Examples of Unpaid Compensation in a sentence

  • Following a Change in Control, if a Participant’s employment with the Company is terminated either by the Company for Cause or voluntarily by such Participant without Good Reason, the Company will pay the Participant (a) any Unpaid Compensation through the date of such termination, plus (b) all other amounts to which the Participant is entitled under any compensation plans of the Company, at the time such payments are due.

  • Following a Change in Control, if a Participant’s employment with the Company is terminated due to Disability or death, the Company will pay any Unpaid Compensation through the date of such termination to the Participant or his or her designated beneficiaries (or, if there are no such designated beneficiaries, to the Participant’s estate), respectively.

  • As soon as practicable after the death of an employee, the agency in which the employee was last employed will request, in the order of precedence outlined in § 178.204, the ap- propriate person or persons to execute Standard Form 1153, Claim for Unpaid Compensation of Deceased Civilian Employee.

  • If a Participant’s employment with the Company is terminated during the Covered Period and the term of this Plan either by the Company for Cause or voluntarily by such Participant without Good Reason, the Company will pay the Participant any Unpaid Compensation through the date of such termination.

  • If a Participant’s employment with the Company is terminated due to Disability or death during the Covered Period and the term of this Plan, the Company will pay any Unpaid Compensation through the date of such termination to the Participant or his or her designated beneficiaries (or, if there are no such designated beneficiaries, to the Participant’s estate), respectively.

  • Do not confuse this form with designation forms used for other types of benefits: Standard Form 2808, Designation of Beneficiary - Civil Service Retirement System; Standard Form 2823, Designation of Beneficiary - Federal Employees' Group Life Insurance Program; TSP-3, Thrift Savings Plan Designation of Beneficiary; or Standard Form 1152, Designation of Beneficiary - Unpaid Compensation of Deceased Civilian Employee.This form is only for employees and retirees under FERS.

  • The parties acknowledge and agree that the Preferred Shares shall be issued to the Holder in exchange for the Unpaid Compensation without the payment of any additional consideration.

  • On the Closing Date, (a) the Company shall deliver the Preferred Shares to the Holder and (b) the Unpaid Compensation shall no longer be due and owed by the Company to the Holder and such debt shall be extinguished.

  • Standard Form (SF) 1174 (Claim for Unpaid Compensation of Deceased Member of the Uniformed Services) from the beneficiary.

  • An employee may designate a beneficiary or beneficiaries to receive his or her unpaid compensation using an SF 1152, Designation of Beneficiary for Unpaid Compensation of Deceased Civilian Employee.

  • Covered Compensation means any Incentive-Based Compensation granted, vested or paid to a person who served as an Executive Officer at any time during the performance period for the Incentive-Based Compensation and that was Received (i) on or after October 2, 2023 (the effective date of the Nasdaq listing standards), (ii) after the person became an Executive Officer, and (iii) at a time that the Company had a class of securities listed on a national securities exchange or a national securities association such as Nasdaq.

  • Special compensation means payment to an adult foster care facility to ensure the provision of a specialized program in addition to the basic payment for adult foster care. Special compensation does not include payment received directly from the Medicaid program for personal care services for a resident, or payment received under the supplemental security income program.

  • Compensation Year means a period of 12 months expiring 31 March in any year;

  • Unemployment compensation means cash benefits (including depend- ents’ allowances) payable to individ- uals with respect to their unemploy- ment, and includes regular, additional, emergency, and extended compensa- tion.(2) Regular compensation means unem- ployment compensation payable to an individual under any State law, but not including additional compensation or extended compensation.(3) Additional compensation means un- employment compensation totally fi- nanced by a State and payable under a State law by reason of conditions of high unemployment or by reason of other special factors.(4) Emergency compensation means supplementary unemployment com- pensation payable under a temporary Federal law after exhaustion of regular and extended compensation.(5) Extended compensation means un- employment compensation payable to an individual for weeks of unemploy- ment in an extended benefit period, under those provisions of a State law which satisfy the requirements of the Federal-State Extended Unemploy- ment Compensation Act of 1970, as amended, 26 U.S.C. 3304 note, and part 615 of this chapter, with respect to the payment of extended compensation.

  • Clawback Eligible Incentive Compensation means all Incentive-based Compensation Received by an Executive Officer (i) on or after the effective date of the applicable Nasdaq rules, (ii) after beginning service as an Executive Officer, (iii) who served as an Executive Officer at any time during the applicable performance period relating to any Incentive-based Compensation (whether or not such Executive Officer is serving at the time the Erroneously Awarded Compensation is required to be repaid to the Company), (iv) while the Company has a class of securities listed on a national securities exchange or a national securities association, and (v) during the applicable Clawback Period (as defined below).
