Unpaid SPAC Expenses definition

Unpaid SPAC Expenses means the SPAC Expenses that are unpaid as of immediately prior to the Closing.
Unpaid SPAC Expenses means the SPAC Expenses that are unpaid as of the relevant determination date.
Unpaid SPAC Expenses has the meaning specified in Section 4.3(a)(ii).

  • Section 4.20 of the SPAC Disclosure Schedules sets forth a complete and accurate list of the Unpaid SPAC Expenses (i) incurred on or following May 1, 2023 and due and owing as of the Execution Date and (ii) expected to be due and owing as of the Closing (as estimated in good faith by the SPAC as of the Execution Date), including, for each item on such list, the dollar amount thereof.

  • Litigation Expenses means costs and expenses incurred in connection with commencing, prosecuting and settling the Action (which may include the costs and expenses of Plaintiffs directly related to their representation of the Settlement Class), for which Lead Counsel intends to apply to the Court for reimbursement from the Settlement Fund.

  • Reasonable Additional Expenses means expenses for meals, taxi fares, essential telephone calls, local transportation, and lodging which are necessarily incurred as the result of Trip Delay and which are not provided by the Common Carrier or any other party free of charge.
