Uplisting Date definition

Uplisting Date means the date the Common Stock is admitted for trading on a Qualified Eligible Market.
Uplisting Date means the date that the shares of Common Stock (or any shares of stock for which Common Stock is exchanged or converted by merger, consolidation, share exchange or other transaction that is approved by the Board of Directors) is listed for trading on any national exchange (e.g., the New York Stock Exchange or any market of NASDAQ.
Uplisting Date means the date on which the Common Stock is listed for trading and is actually trading on a Trading Market other than the OTC Bulletin Board, OTCQX or OTCQB. “Variable Rate Transaction” shall have the meaning ascribed to such term in Section 4.13(b) .

Examples of Uplisting Date in a sentence

  • Upon the occurrence of such Automatic Conversion of this Note, including, without limitation, the delivery of the applicable Conversion Shares, this Note will be deemed converted in full on the Uplisting Date, and the Holder shall be deemed to have surrendered such Note to the Company.

  • Upon the occurrence of such Automatic Conversion of this Note and the Other Notes, including, without limitation, the delivery of the applicable Conversion Shares, this Note will be deemed converted in full on the Uplisting Date, and the Holder and the holders of the Other Notes shall be deemed to have surrendered such Notes to the Company.

  • If the application is not accepted and approved within 12 months of the final closing of the Offering (the “Uplisting Date”), the Company shall pay cash liquidated damages to each Subscriber in the amount equal to 0.5% of the amount subscribed for by such Subscriber to be paid on the first business day after the Uplisting Date and on each monthly anniversary of said date (applied on a daily pro-rata basis) until the Uplisting is completed.

  • If the Senior Exchange Listing has not occurred by the Uplisting Date, the Company shall pay cash liquidated damages to each Subscriber in the amount equal to one half of one percent (0.5%) of such Subscriber’s aggregate Purchase Price to be paid on the first business day after the Uplisting Date and on each monthly anniversary of said date until the Uplisting is completed.

  • This Note and all of the outstanding Other Notes shall be converted automatically on the Uplisting Date, which date, for the avoidance of doubt, shall be deemed a Conversion Date for all purposes under this Note, without any further action by the Holder and the holders of the Other Notes and whether or not this Note or the Other Notes are surrendered to the Company or its Transfer Agent.

  • Listing Date means the first date upon which any security of the Company is listed (or approved for listing) upon notice of issuance on any securities exchange or designated (or approved for designation) upon notice of issuance as a national market security on an interdealer quotation system if such securities exchange or interdealer quotation system has been certified in accordance with the provisions of Section 25100(o) of the California Corporate Securities Law of 1968.

  • Posting Date means the date specified in the “Statement of Account” on which date the transaction was received by the “Bank” from the location at which the “Card” was used and posted to the “Card Account”.

  • Testing Date means each day which is: (i) the last day of the relevant Issuer's and the Guarantor's financial year in any year; or (ii) the last day of each of the first three quarters of the relevant Issuer's and the Guarantor's financial year in any year.

  • Trading Date means the closing of the first sale to the general public of the Shares pursuant to a registration statement filed with and declared effective by the U.S. Securities and Exchange Commission under the Securities Act.

  • Initial Vesting Date means the date occurring one (1) year after the Date of Option Grant.

  • Measurement Date has the meaning set forth in Section 3.3(a).

  • Quotation Date means, in relation to any Interest Period (or any other period for which an interest rate is to be determined under any provision of a Finance Document), the day on which quotations would ordinarily be given by leading banks in the London Interbank Market for deposits in the currency in relation to which such rate is to be determined for delivery on the first day of that Interest Period or other period;

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • De-listing Event means the situation where (i) the shares in the Issuer are not listed and admitted to trading on a Regulated Market or (ii) trading in the shares in the Issuer on the relevant Regulated Market is suspended for a period of fifteen (15) consecutive Business Days.

  • Qualification Date means the date as of which the Offering Statement was or will be qualified with the Commission pursuant to Regulation A, the Act and the Rules and Regulations; and

  • Public Trading Date means the first date upon which Common Stock is listed (or approved for listing) upon notice of issuance on any securities exchange or designated (or approved for designation) upon notice of issuance as a national market security on an interdealer quotation system.

  • Current Date means any day during the 20-day period ending on the date of the Closing.

  • Reporting Date means the 7th day of each Month following the Month to which the relevant Management Information relates, or such other date as may be agreed between the Parties;

  • Quarterly Valuation Date means the last Business Day of each February, May, August and November of each year commencing on the first such date next following the Date of Original Issue of a series of MTP , except with respect to delivery of Accountant’s Confirmation in which case “Quarterly Valuation Date” shall mean the last Business Day of such of the last Business Days of February, May, August and November in each year as is selected by S&P.

  • Listing Failure means the situation where the Bonds have not been listed on the corporate bond list of Nasdaq Stockholm (or any other Regulated Market) within sixty (60) calendar days after the Issue Date.

  • Notification Date means 30 days from an Account statement date (see section 6.3).

  • Dividend Date means a date specified in the Issue Resolution on which a dividend in respect of that preference share is payable.

  • Mailing Date has the meaning set forth in Section 2.1(a).

  • Initial Valuation Date means the Issue Date, provided that if such day is not an Exchange Business Day for a Share then the Initial Valuation Date for that Share will be the first succeeding day that is an Exchange Business Day, subject to the occurrence of a Market Disruption Event. See “DESCRIPTION OF THE NOTES – Market Disruption Event” below for further detail.

  • Nomination Date as herein used means twenty-fifth (25th) of the month preceding the movement; provided that if the twenty-fifth (25th) of such month falls on a weekend, the date shall be the preceding workday, and further provided that if the twenty-fifth (25th) of such month falls on a holiday the date shall be two (2) workdays prior to the holiday.

  • Approved Stock Exchange means the New York Stock Exchange, NASDAQ or such other stock exchange in the United States of America, the United Kingdom or Hong Kong as is approved in writing by the Facility Agent or, in each case, any successor thereto.

  • SOFR Determination Date has the meaning specified in the definition of “Daily Simple SOFR”.

  • Initial Market Value means, in relation to a Ship, the Market Value of that Ship calculated in accordance with the valuations relative thereto referred to in paragraph 5 of Schedule 4, Part B;

  • First Trading Date means 15 November 2022.

  • Small group market means the health insurance market under which individuals obtain health

  • Lookback Date means January 1, 2020.
