US Master Note definition

US Master Note means a US Line of Credit Note, US Revolving Note, or US Term Note, as the case may be.
US Master Note means the master promissory note, dated of even date herewith, made by the U.S. Borrower in favor of Lender, as amended or supplemented from time to time, in a stated principal amount equal to the U.S. Line of Credit Limit, evidencing Advances to be obtained by the U.S. Borrower under the U.S. Line of Credit, together with any renewals or extensions thereof, in whole or in part. The U.S. Master Note shall be substantially in the form of Exhibit A, with appropriate insertions.

  • The outstanding principal amount of the U.S. Master Note may fluctuate from time to time, but shall be due and payable in full on the U.S. Line of Credit Termination Date, and each Advance thereunder shall bear interest from the date of such Advance until paid in full at the Applicable Rate, calculated and payable in the manner described in Section 2.2.

  • The Debts arising from Advances made to or on behalf of the U.S. Borrower under the U.S. Line of Credit shall be evidenced by the U.S. Master Note, which shall be executed by the U.S. Borrower and delivered to Lender on the Closing Date.

  • Master Note means a Master Promissory Note in the form mandated by Section 432(m)(1)(D) of the Higher Education Act, as added by Pub. L. 105-244,ss. 427,112 Stat. 1702 (1998) as amended by Public Law No: 106-554 (enacted December 21, 2000) and as codified at 20 U.S.C.ss. 1082(m)(1).

  • Seller Note means the promissory note evidencing Xxxxxxxx’s repayment obligations in respect of the Seller Loan.

  • Securities Lending Agreement means an agreement under which a local agency agrees to transfer securities to a borrower who, in turn, agrees to provide collateral to the local agency. During the term of the agreement, both the securities and the collateral are held by a third party. At the conclusion of the agreement, the securities are transferred back to the local agency in return for the collateral.

  • Note Purchase Agreement means the Note Purchase Agreement, dated as of the Issuance Date, among the Company, the Subordination Agent, the Escrow Agent, the Paying Agent, and the Pass Through Trustee under each Pass Through Trust Agreement providing for, among other things, the issuance and sale of certain equipment notes, as the same may be amended, supplemented or otherwise modified from time to time in accordance with its terms.

  • Original Note shall have the meaning assigned to such term in the recitals.

  • Control Account Agreement means any tri-party agreement by and among a Loan Party, the Administrative Agent and a depositary bank or securities intermediary at which such Loan Party maintains a Controlled Account, in each case in form and substance satisfactory to the Administrative Agent.
