US Paying Agent means The Bank of New York and any successor U.S. Paying Agent.

Examples of US Paying Agent in a sentence

  • The US Paying Agent irrevocably and unconditionally appoints the Principal Paying Agent at its registered office for the time being as its agent for service of process in England in respect of any proceedings in respect of this Agreement and undertakes that in the event of the Principal Paying Agent ceasing so to act it will appoint another person with a registered office in London as its agent for service of process.

  • Each of the Principal Paying Agent, the US Paying Agent and the Agent Bank accepts its appointment as agent of the Current Issuer and, for the purpose of Clause 11 (Agents to act for Note Trustee) only, the Note Trustee in relation to the Current Issuer Notes and agrees to comply with the provisions of this Agreement and to perform its duties under the Current Issuer Conditions.
