Use of Affiliates. Merck shall have the right to exercise its rights and perform its obligations under this Agreement either itself or through any of its Affiliates.
Use of Affiliates. Each Party acknowledges and accepts that the other Party may exercise its rights and perform its obligations under this Agreement either directly or through one or more of its Affiliates. A Party’s Affiliates will have the benefit of all rights (including all licenses) of such Party under this Agreement. Accordingly, in this Agreement “Genzyme” will be interpreted to mean “Genzyme or its Affiliates” and “Voyager” will be interpreted to mean “Voyager or its Affiliates” where necessary to give each Party’s Affiliates the benefit of the rights provided to such Party in this Agreement; provided, however, that in any event each Party will remain responsible for the acts and omissions, including financial liabilities, of its Affiliates.
Use of Affiliates. Seller shall have the right to exercise its rights and perform its obligations under this Agreement either itself or through any of its Affiliates. In addition, in each case where an Affiliate of Seller has an obligation pursuant to this Agreement or performs an obligation pursuant to this Agreement, Seller shall cause and compel such Affiliate to perform such obligation and comply with the terms of this Agreement.
Use of Affiliates. Either Party shall have the right to exercise its rights and perform its obligations under this Agreement either itself or through any of its Affiliates. In addition, in each case where a Party’s Affiliate has an obligation pursuant to this Agreement or performs an obligation pursuant to this Agreement, (a) such Party shall cause and compel such Affiliate to perform such obligation and comply with the terms of this Agreement and (b) any breach of the terms or conditions of this Agreement by such Affiliate shall be deemed a breach by such Party of such terms or conditions, for which such Party is liable.
Use of Affiliates. Merck and Licensee shall have the right to exercise its rights and perform its obligations under this Agreement either itself or through any of a Related Party. Use of Affiliates. Pfizer shall have the right to exercise its rights and perform its obligations under this Agreement either itself or through any of its Affiliates, provided that Pfizer shall at all times remain liable for the actions or inactions of any such Affiliate.
Use of Affiliates. GCLC may perform any R&D Program activity through any GCLC Affiliate; provided, in each case, that: (i) such GCLC Affiliate is bound by written agreement to comply with all applicable terms and conditions of this Agreement to the same extent as GCLC; (ii) GCLC shall remain fully responsible for the performance of such obligations by such Affiliate and for the compliance of such Affiliate with the terms and conditions of this Agreement; and (iii) any failure of such GCLC Affiliate to comply with the terms and conditions of this Agreement shall be deemed a breach of this Agreement by GCLC.
Use of Affiliates. Company and Contractor agree that one or more of Company’s affiliates may from time to time request Work hereunder. In such event, such affiliate shall be deemed to be Company with respect to such Work and shall assume the rights and obligations of Company hereunder with respect thereto. As used in this Agreement the term “affiliate” with respect to any person shall mean any other person directly or indirectly controlling, controlled by or under common control with such person whether through ownership, by contract or otherwise, where “control” means the power to direct the management or policies of a person, provided that any person with direct or indirect ownership of 50% or more of the voting power for the election of directors or other governing body of a legal entity or 50% or more of the economic interest of any other person will be deemed to be control such legal entity or other person.
Use of Affiliates. The Parties recognize that each may perform some or all of its obligations under this Agreement through Affiliates, subject to the terms and conditions of this Agreement. Each Party shall remain responsible for, and hereby guarantees, the performance by its Affiliates and shall cause its Affiliates to comply with the provisions of this Agreement in connection with such performance. In the event of any dispute arising from the performance by an Affiliate under this Agreement, the Party having such a dispute may proceed directly against the other Party, without any obligation to first proceed against the Affiliate.
