Examples of V Shares in a sentence

  • The NAV per Share of the Shares shall be determined by dividing the total assets of the applicable Series (the value of investments, plus cash or other assets, including interest and distributions accrued but not yet received) less the value of any liabilities of such Series (including accrued expenses or distributions), by the total number of Shares (other than V Shares) outstanding in such Series.

  • Subject to Section 17.2 of this Agreement, this Agreement may be amended, at any time and from time to time, by the Board of Directors with the consent of V Members holding a majority of the outstanding V Shares and without the consent of the Shareholders or any other Person.

  • As of the date hereof, Apollo Principal Holdings has made a Capital Contribution to Series II of $1,000 in exchange for the Company’s issuance to such V Shareholder of 40 Series II V Shares.

  • For the avoidance of doubt, only Shareholders holding V Shares are permitted to vote with respect to the Company or a Series, including the election of all Directors.

  • The number of Directors may be increased or decreased from time to time by V Shareholders holding a majority of the outstanding V Shares; provided, however, that, the number of non-Independent Directors shall not exceed the number of Independent Directors.

  • As of the date hereof, Apollo Principal Holdings has made a Capital Contribution to Series I of $1,000 in exchange for the issuance to such V Shareholder of 40 Series I V Shares.

Related to V Shares

  • Newco Shares means common shares in the capital of Newco;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Company Shares means the common shares in the capital of the Company;

  • Purchased Shares has the meaning set forth in Section 2.01.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Sale Shares means [Insert total number of shares of the Company] Shares, representing 100 percent of the total issued, subscribed and fully paid-up equity share capital of the Company held by the Shares Seller and Nominees as more particularly described in Annexure A attached hereto;

  • Target Shares means common shares in the capital of Target, as currently constituted;

  • Exchange Shares has the meaning set forth in Section 2.02(b).

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.
