For the avoidance of doubt, the Depositors may satisfy their obligation to pay the Note Redemption Price, in whole or in part, by causing the Issuer to issue one or more Series of Notes, re-open an existing Series of Notes or draw on an existing Variable Funding Note Series, on or before the Redemption Date and causing the proceeds of such issuance, re-opening or drawing to be deposited in the Collection Account.
The advances hereunder shall be evidenced by the Borrower's Variable Funding Note, Series A (the "Note"), issued to the Initial Lender under the Trust Indenture, dated as of December 31, 1997 (the "Indenture"), among the Borrower, AutoBond and Manufacturers & Traders Trust Company, as trustee (the"Trustee").

This Amendment shall become effective as of June 30, 2000 upon receipt by CSFB of (i) executed counterparts of this Amendment, (ii) executed counterparts of the Amendment No.1 to Series 2000-1 Supplement, (iii) executed counterparts of the Amended and Restated Variable Funding Note, Series 2000-1 and (iv) confirmation from each Rating Agency that Amendment No.1 to Series 2000-1 Supplement will not result in the reduction or withdrawal of its rating of any Series of Notes issued by TFFC.

Funds on deposit in the Excess Funding Account will be invested in Eligible Investments that will mature so that such funds will be available no later than the following Distribution Date; provided, however, that, if there is any Variable Funding Note Series outstanding, such funds must be available no later than the following Expected Final Payment Date (as defined in the Indenture Supplement for such Variable Funding Note Series).
