VG Funding means VG Funding, LLC.

  • Notwithstanding the foregoing, the VG Funding Eligible Lender Trustee for the benefit of VG Funding agrees to individually endorse each Note in the form provided by Funding as Funding may from time to time require or if such individual endorsement is required by the Guarantor of the Note.

  • It has all necessary power and authority to execute and deliver this Agreement and to carry out its terms; and the execution, delivery and performance of this Agreement has been duly authorized by VG Funding by all necessary action.

  • Each Purchase Agreement supersedes all previous agreements and understandings between Funding and VG Funding with respect to the subject matter thereof.

  • At the direction of and in such form as Funding may designate, VG Funding and the VG Funding Eligible Lender Trustee for the benefit of VG Funding also agree to individually endorse any Eligible Loan as Funding may request from time to time.

  • Within two (2) Business Days following the date of receipt, VG Funding shall remit to Funding an amount equal to any such payments along with a listing on a form provided by Funding identifying the Purchased Loans with respect to which such payments were made, the amount of each such payment and the date each such payment was received.

  • This Agreement constitutes a legal, valid and binding obligation of VG Funding enforceable in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization and similar laws relating to creditors’ rights generally and subject to general principles of equity.

  • VG Funding and the VG Funding Eligible Lender Trustee have not authorized the filing of and are not aware of any financing statements against VG Funding or the VG Funding Eligible Lender Trustee that include a description of collateral covering the Purchased Loans other than any financing statement relating to the security interest granted to the Interim Eligible Lender Trustee hereunder or any other security interest that has been terminated.

  • VG Funding and the VG Funding Eligible Lender Trustee are not aware of any judgment or tax lien filings against VG Funding or the VG Funding Eligible Lender Trustee.

Related to VG Funding

  • Match funding or “match share” means cash or in-kind (non-cash) contributions provided by the Applicant/Recipient, subcontractors, or other parties that will be used in performance of the proposed project. Match share percentage is calculated by dividing the total match share contributions by the total allowable project cost. “Total allowable project cost” is the sum of the CEC’s reimbursable share and Recipient’s match share of the project costs. Match share expenditures have the following requirements:

  • Offering Funding Date means the date on which the offering for the Series Asset is fully funded through an offering conducted by the Company.

  • Initial Funding means the funding of the initial Loans or issuance of the initial Letters of Credit upon satisfaction of the conditions set forth in Sections 6.01 and 6.

  • CarMax Funding means CarMax Auto Funding LLC, a Delaware limited liability company.

  • Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.

  • Additional Funding has the meaning prescribed to that term in clause 4.3 of this Agreement.

  • Liquidity Funding means (a) a purchase made by any Committed Lender pursuant to its Liquidity Commitment of all or any portion of, or any undivided interest in, an applicable Conduit’s Loans, or (b) any Loan made by a Committed Lender in lieu of such Conduit pursuant to Section 1.1.

  • Project Funding means the funding for the Services;

  • Income trust means a trust that is not a unitrust.

  • Pre-Funding Period means the period beginning on the Closing Date and ending on the earliest of (a) the date on which the amount on deposit in the Pre-Funding Account is less than $10,000, (b) the Funding Termination Date or (c) the date on which an Event of Termination occurs.

  • Interest Funding Account shall have the meaning specified in subsection 4.2(b).

  • student loan means a loan towards a student’s maintenance pursuant to any regulations made under section 22 of the Teaching and Higher Education Act 1998, section 73 of the Education (Scotland) Act 1980 or Article 3 of the Education (Student Support) (Northern Ireland) Order 1998 and includes, in Scotland, a young student’s bursary paid under regulation 4(1)(c) of the Students’ Allowances (Scotland) Regulations 2007.

  • Supplemental Interest Trust The corpus of a trust created pursuant to Section 5.07 of this Agreement and designated as the “Supplemental Interest Trust,” consisting of the Swap Agreement, the Swap Account, the Interest Rate Cap Agreement, the Interest Rate Cap Account, the right to receive the Class X Distributable Amount as provided in Section 5.02(f)(vi), the Class LT4-I interest in REMIC 4 and the right to receive Class I Shortfalls.

  • Principal Funding Investment Shortfall means, with respect to each Transfer Date relating to the Controlled Accumulation Period, the amount, if any, by which the Principal Funding Investment Proceeds for such Transfer Date are less than the Covered Amount determined as of such Transfer Date.

  • the CE of Skills Funding means the Chief Executive of Skills Funding;
