Voluntary Redemption Price definition

Voluntary Redemption Price means the amount which would otherwise be available for distribution to the Partners on a sequestration of the Partnership, divided by the number of Tokens in issue in order to calculate the price per Token;
Voluntary Redemption Price shall have the meaning set forth in Section 8(a) hereof.
Voluntary Redemption Price means, with respect to the payment due on any Voluntary Redemption Date, that price which shall be computed as 90% of the arithmetic average of the Volume Weighted Average Price of the Common Stock on each of the thirty (30) consecutive Trading Days immediately preceding (but not including) such Voluntary Redemption Date (each, a "Voluntary Redemption Date Measuring Period"). All such determinations to be appropriately adjusted for any stock split, stock dividend, stock combination or other similar transaction during such Voluntary Prepayment Measuring Period. The foregoing definitions shall be equally applicable to both the singular and plural forms of the defined terms. The use herein of the word "include" or "including", when following any general statement, term or matter, shall not be construed to limit such statement, term or matter to the specific items or matters set forth immediately following such word or to similar items or matters, whether or not nonlimiting language (such as "without limitation" or "but not limited to" or words of similar import) is used with reference thereto, but rather shall be deemed to refer to all other items or matters that fall within the broadest possible scope of such general statement, term or matter. As used herein, the terms "proved reserves," "proved developed reserves," and "proved developed producing reserves," have the meaning given such terms from time to time and at the time in question by the Society of Petroleum Engineers of the American Institute of Mining Engineers.

  • Once notice of redemption is mailed and the Company shall have complied with paragraph (iii) below, the Voluntary Redemption Price shall become due and payable on the Voluntary Redemption Date.
