Voteco Member has the meaning given to such term in the introduction hereof.

Voteco Member means the Desert Rock Member, the Starwood Member, or the Strategic Value Partners Member (from and after its admission as a member of Voteco pursuant to Section 3.01), as the case may be.

Examples of Voteco Member in a sentence

  • The Transfer of record or beneficial ownership of any Voteco Interests, by operation of law or otherwise, by or upon the direction or authorization of any Voteco Member shall be deemed invalid, null and void, and of no force or effect, and the transferee of any such Voteco Interests shall not be entitled to vote such Voteco Interests or receive distributions on such Voteco Interests or have any other rights in or respecting such Voteco Interests, unless such Transfer is approved in writing by Holdings.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Individual Member means a registered, financial Member of the Club who is at least 18 years of age.

  • Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.

  • Stockholder means, with respect to any Person, each holder of Stock of such Person.
