Voting Common Unit definition

Voting Common Unit means each Membership Interest in the Company designated as a Voting Common Unit, along with the voting rights attributable to each such Voting Common Unit. Voting Common Units may also be referred to as “Voting Common Membership Interests.”
Voting Common Unit means the Voting Common Unit of the Company, having the rights, privileges and preferences set forth herein.

  • Upon delivery of an Optional Conversion Notice to the Partnership in accordance with Section 5.9(b)(v)(C), each Class B LLC Member shall have the right, but not the obligation, to convert all or any portion of the Non-Voting Common Units held by it into one (1) Common Unit for each Non- Voting Common Unit being converted.

  • A Company Interest of any class or series other than a Class A Voting Common Unit shall not entitle the holder thereof to vote on, or consent to, any matter.

  • Subject in all respects to Section 4.7(a)(iii) below, each Class A Nonvoting Common Unit shall be convertible, at the option of the holder thereof, at any time and from time to time, and without the payment of additional consideration by the holder thereof, into one fully paid and nonassessable Class A Voting Common Unit (i.e., on a one-to-one basis).

  • Voting Common Stock means the voting common stock, par value $0.01 per share, of the Company.

  • Non-Voting Common Stock means the non-voting common stock, par value $0.01 per share, of the Company.

  • Common Unit means a common unit representing a limited partner interest in the Partnership having the rights set forth in the Partnership Agreement.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Voting Share means (i) a Common Share of the Company and (ii) any other share of capital stock of the Company entitled to vote generally in the election of directors or entitled to vote together with the Common Shares in respect of any merger, consolidation, sale of all or substantially all of the Company's assets, liquidation, dissolution or winding up. References in this Agreement to a percentage or portion of the outstanding Voting Shares shall be deemed a reference to the percentage or portion of the total votes entitled to be cast by the holders of the outstanding Voting Shares.

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Common Units is defined in the Partnership Agreement.

  • Voting Units means collectively the Units and Special Voting Units.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Voting Shares means the Common Shares and any other shares in the capital of the Corporation entitled to vote generally in the election of all directors.

  • Special Voting Share means the one share of Series B special voting preference stock with no par value, issued by US Gold to and deposited with the Trustee, which entitles the holder of record to a number of votes at meetings of holders of shares of US Gold Common Stock equal to the number of Exchangeable Shares outstanding from time to time that are held by Beneficiaries.

  • Class B Unit means a Partnership Unit which is designated as a Class B Unit of the Partnership.

  • Parent Common Shares means the common shares of beneficial interest, $0.01 par value per share, of Parent.

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • Voting Preferred Stock means, with regard to any election or removal of a Preferred Stock Director (as defined in Section 8(b) below) or any other matter as to which the holders of Series E are entitled to vote as specified in Section 8 of this Certificate of Designations, any and all series of Preferred Stock (other than Series E) that rank equally with Series E either as to the payment of dividends or as to the distribution of assets upon liquidation, dissolution or winding up of the Corporation and upon which like voting rights have been conferred and are exercisable with respect to such matter.

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.

  • Partnership Unit means a fractional, undivided share of the Partnership Interests of all Partners issued hereunder. The allocation of Partnership Units among the Partners shall be as set forth on Exhibit A, as may be amended from time to time.

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Special Voting Unit means a special voting unit of the REIT;

  • Class A Unit means any Partnership Unit that is not specifically designated by the General Partner as being of another specified class of Partnership Units.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • sub-unit means, with respect to any currency other than euro, the lowest amount of such currency that is available as legal tender in the country of such currency and, with respect to euro, means one cent.

  • Partnership Unit Designation shall have the meaning set forth in Section 4.2.A hereof.

  • Special Voting Units means, collectively, special voting units of the REIT, and “Special Voting Unit” means any one of them.
