Voting Preference Shares definition

Voting Preference Shares means any other class or series of Preference Shares ranking equally with the Series C Preference Shares with respect to dividends and the distribution of assets upon liquidation, dissolution or winding up of the Company and upon which like voting rights have been conferred and are exercisable. As of the Issue Date, the Series A Preference Shares and the Series B Preference Shares are the only other Voting Preference Shares of the Company outstanding.

Voting Preference Shares means any other class or series of Preference Shares ranking equally with the Series A Preference Shares with respect to dividends and the distribution of assets upon liquidation, dissolution or winding up of the Company and upon which like voting rights have been conferred and are exercisable. As of the Issue Date, there are no Voting Preference Shares of the Company outstanding.

Voting Preference Shares means, with regard to any election or removal of a Preferred Shares Director or any other matter as to which the holders of Preferred Shares are entitled to vote as specified in Section 8 of this Certificate of Designation, any and all series of Parity Shares upon which like voting rights have been conferred and are exercisable with respect to such matter.

Examples of Voting Preference Shares in a sentence

• All Serial Preferred Shares shall rank on a parity with and be identical to all Voting Preference Shares except in respect of (i) the matters that may be fixed by the Board of Directors as provided in clauses (a) through (i), both inclusive, of this Section and (ii) the voting rights and provisions for consents relating to Serial Preferred Shares as fixed and determined by Section 5 of this Division.

• The Voting Preference Shares may be issued from time to time in one or more series.

• All Voting Preference Shares shall rank on a parity with and be identical to all Serial Preferred Shares except in respect of (i) the matters that may be fixed by the Board of Directors as provided in clauses (a) through (i), both inclusive, of this Section and (ii) the voting rights and provisions for consents relating to Voting Preference Shares as fixed and determined by Section 5 of this Division.

• The Common Shares shall have the following express terms: The Common Shares shall be subject to the express terms of the Serial Preferred Shares and any series thereof and to the express terms of the Voting Preference Shares and any series thereof.

• All shares of Voting Preference Shares shall be of equal rank and shall be identical, except in respect of the matters that may be fixed by the Board of Directors as hereinafter provided, and each share of a series shall be identical with all other shares of such series, except as to the dates from which dividends shall accrue and be cumulative.

More Definitions of Voting Preference Shares

Voting Preference Shares means any other class or series of the Company’s preference shares ranking equally with the Series A Preference Shares as to dividends and the distribution of assets upon the liquidation, dissolution or winding-up of the Company’s affairs and upon which like voting rights have been conferred and are exercisable.

Voting Preference Shares of a Preference Shareholder at any time means (a) for each Preference Shareholder other than a Reg Y Institution, the number of Preference Shares held by such Preference Shareholder at such time and (b) for any Reg Y Institution, an amount equal to the lesser of (i) the number of Preference Shares held by such Preference Shareholder at such time, (ii) 4.99% of the aggregate number of Preference Shares held by all Preference Shareholders at such time.

Voting Preference Shares means the Voting Preference shares of Amalco, each with one vote per share, with a redemption value and liquidation preference of $0.001 per share.
