Voting Support Agreements definition

Voting Support Agreements means the voting support agreements, entered into contemporaneously herewith, between the Purchaser and each member of the Board of Directors and each officer of the Company; and

Voting Support Agreements means, collectively, the voting support agreements dated the date hereof between the Purchaser and each of the Locked-up Shareholders, substantially in the form attached as Schedule C hereto, setting forth the terms and conditions upon which the Locked-up Shareholders have agreed, among other things, to vote their Company Shares in favour of the Amended Arrangement.

Voting Support Agreements means, collectively, the voting support agreements dated on or before the date hereof between the Purchaser and each of the Company Supporting Shareholders, substantially in the form of Schedule “E”.

Examples of Voting Support Agreements in a sentence

• Notwithstanding the foregoing, MJIC will ensure that all directors and officers of MJIC that are MJIC Shareholders enter into the Voting Support Agreements, and will deliver their Voting Support Agreements to Pubco upon entering into this Agreement.

• Other than this Agreement and the Voting Support Agreements, none of the Parent, the Purchaser, any of their affiliates or any person acting jointly or in concert with any of them is party to any agreement, arrangement or understanding with any holder of securities of the Company directly or indirectly relating to any such securities or the Company, including the voting, sale or other transfer of such securities.

Voting Support Agreements means, collectively, the D&O Support and Voting Agreements and the Controlling Shareholder Voting Support Agreement.

Voting Support Agreements means, collectively, the support and voting agreements dated the date of the Arrangement Agreement between Purchaser and certain Shareholders and the directors and officers of Reunion pursuant to which each such person agreed, among other things, to vote in favour of the Arrangement Resolution.

Voting Support Agreements means the voting support agreements dated the date hereof between the Purchaser and each of the members of the Board and senior officers of the Company who beneficially own Common Shares or any securities convertible into, or exchangeable or exercisable for, Common Shares on the date hereof, setting forth the terms and conditions upon which they have agreed, among other things, to vote their Common Shares in favour of the Arrangement Resolution.
