Warrant Exchange Ratio definition

Warrant Exchange Ratio means the ratio of (a) the sum of (i) the Exchange Ratio multiplied by the closing sales price of a share of Acquiror Common Stock on the NASDAQ Global Select Market on the last trading day immediately preceding the Closing Date, plus (ii) the Cash Consideration, divided by (b) the closing sales price of a share of Acquiror Common Stock on the NASDAQ Global Select Market on the last trading day immediately preceding the Closing Date.
Warrant Exchange Ratio shall be equal to the quotient obtained by dividing (i) 5,125,000 shares of Parent Common Stock by (ii) the Fully-Diluted Company Stock. The “Warrant Exercise Price” shall be equal to $6.79. Unless the context otherwise requires, all references in this Agreement to “Parent Common Stock” shall be deemed to also refer to the associated Rights.
Warrant Exchange Ratio means (i) the Warrant Consideration Shares, divided by (ii) 441,176.

Warrant Exchange Ratio shall be determined by dividing $8.75 by the Initial Market Price.
