Warrant Offering definition

Warrant Offering means a distribution by the Company after the Closing of non-transferable warrants to holders of record of Common Stock as of the close of business on the Business Day immediately preceding the Closing Date giving such shareholders the right to purchase a number of shares of Common Stock of the Company at the same price per share paid by the Investor under this Agreement. The number of shares of Common Stock underlying such warrants shall not exceed one share of Common Stock for each four shares of Common Stock held as of the close of business on the Business Day immediately preceding the Closing Date.
Warrant Offering is defined in the preamble to this Agreement.
