Works and Property definition

Works and Property means any and all works and property including, but not limited to, all intellectual properties, ideas, inventions, concepts, products, improvements, innovations, discoveries, developments, methods, formulas, techniques, software, know-how and writings which are made, conceived, reduced to practice, developed, written, contributed to or prepared by Employee whether or not patentable or copyrightable and whether made solely by Employee or jointly with others. All Works and Properties shall unconditionally be, become, and remain the sole and exclusive property of the Company or any of its affiliates, successors, or assignees, as the case may be. Employee will promptly execute, acknowledge and deliver all applications, oaths, declarations and further documents and will provide such additional assistance as the Company or its counsel may deem necessary or desirable to evidence the Company's title to such Works and Property. This section does not apply to Works and Property that qualifies as a non-assignable invention under Section 2870 of the California Labor Code.

Employee has been advised by the Company that this section regarding assignments does not apply to Works and Property that qualifies as a non-assignable invention under Section 2870 of the California Labor Code. Employee acknowledges having received from the Company a copy of said code Section, attached hereto as Exhibit B.

Examples of Works and Property in a sentence

  • The Public Works and Property of each Province, enumerated in the Third Schedule to this Act, shall be the Property of Canada.

  • During the Employment, Employee shall assign, transfer and convey to the Company, without further consideration, any and all Works and Property in accordance with this Agreement.

  • One member shall be the Village President who shall be its presiding officer; one Village Board member who shall have expertise with the Village Comprehensive Develop Plan, one Village Board member who shall be the Chair of Public Works and Property Committee, one member shall be the Director of Public Works, and if there is none, a citizen member until such Director is appointed, and three citizen members.

  • Employee has been advised by the Company that this section regarding assignments does not apply to Works and Property that qualifies as a non-assignable invention under Section 2870 of the California Labor Code.

  • A member of the Town Board and Department of Public Works and Property Nate Voskuil will represent the Township at the October 27th LRIP 2022‐2023 meeting of the Sheboygan County Town Road Improvement Committee at the Sheboygan County Transportation Department building on County Road J in Plymouth.

Related to Works and Property

  • Personal Property means any machinery, equipment, tools, vehicles, furniture, leasehold improvements, office equipment, plant, parts and other tangible personal property.

  • Existing Property means all property against which ad valorem property taxes were levied by a local unit for its concluding fiscal year, minus all property that is considered losses for purposes of ad valorem property tax levies of the local unit for the ensuing fiscal year.

  • Leased Personal Property shall have the meaning given such term in Section 2.1(e).

  • Excluded Personal Property means the following:

  • Owned Property has the meaning set forth in Section 4.10(a).

  • Excluded Property shall have the meaning set forth in the Security Agreement.

  • Property, Plant and Equipment means any item of real property, or any interest therein, buildings, improvements and machinery.

  • Security Property means all right, title and interest in, to and under any Security Document, including:

  • Leased Equipment means the computers, servers, machinery and equipment and other tangible personal property leased by Seller for use in the operation or conduct of the Business.

  • Subject Property means any premises located in the County on which an energy efficiency improvements, water efficiency improvements, or renewable resource applications are being or have been made and financed through an outstanding PACE loan.

  • Real Property means, collectively, all right, title and interest (including any leasehold, mineral or other estate) in and to any and all parcels of or interests in real property owned or leased by any Person, whether by lease, license or other means, together with, in each case, all easements, hereditaments and appurtenances relating thereto, all improvements and appurtenant fixtures and equipment, all general intangibles and contract rights and other property and rights incidental to the ownership, lease or operation thereof.

  • Existing Equipment means any items of existing plant or equipment owned or controlled by either Pur- chaser or End-User upon which Supplier is required to perform Services.

  • Non-Public Works and Improvements means all competitively solicited procurement of Supplies and/or Services by the City not solicited as Public Works.

  • Owned Real Property has the meaning set forth in Section 4.10(a).

  • Improved Property means any property upon which there is erected a structure intended for continuous or periodic habitation, occupancy or use by human beings or animals and from which structure Sanitary Sewage and/or Industrial Wastes shall be or may be discharged.

  • Common Property means any and all real and personal property and easements and other interests therein, together with the facilities and improvements located thereon, now or hereafter owned by the Association for the common use and enjoyment of the Owners.

  • Adjacent Property means all land adjoining and surrounding the Stadium Site on which will be located any public streets, sidewalks, plazas, or bridges and any public or private parking facilities or other accoutrements to be developed by Authority or other parties in connection with the Project.

  • Mixed-use property means an eligible property that includes three or more residential units and may also contain a commercial property component in the same building.

  • School property means in or within any building, structure, athletic playing field, playground, parking lot or land contained within the real property boundary line of a public elementary or secondary school, or in or on a school bus, as defined in Vehicle and Traffic Law §142.

  • Fixtures and Equipment means, with respect to any Person, all of the furniture, fixtures, furnishings, machinery and equipment owned or leased by such Person and located in, at or upon the Assets of such Person.

  • Real Property Assets means as to any Person as of any time, the real property assets (including, without limitation, interests in participating mortgages in which such Person’s interest therein is characterized as equity according to GAAP) owned directly or indirectly by such Person at such time.

  • Released Property shall have the meaning set forth in Section 2.5.2 hereof.

  • The Works/ Project means the works to be executed or done under this contract.

  • Business Property means property on which a business is conducted, property rented in whole or in part to others, or held for rental.

  • Intellectual Property Assets means all Intellectual Property that is owned by Seller and used in or necessary for the conduct of the Business as currently conducted.
