Xxxx of Sale and Assignment definition

Xxxx of Sale and Assignment shall have the meaning set forth in Section 4.2(a)(i).

Xxxx of Sale and Assignment means an instrument in the form of Exhibit “B” attached hereto, by which Seller shall convey to Buyer title to the Customer Lists, the Equipment, the Intangible Property, the Licenses, the Miscellaneous Assets, the Motor Vehicles, the Records and the Trade Secrets;
