Xxxxx Family definition

Xxxxx Family means Xxxxxxx X. Xxxxxxxx, his parents, his spouse, his children and the legal descendants of each, together with the brothers and sisters of Xxxxxxx X. Xxxxx and their legal descendants.

Xxxxx Family means, collectively, one or more of the following: Xxxxxx Xxxxx, Zephyr Xxxxx, Xxxxxxx Xxxxx and Xxxxxxxxx Xxxxx, and, if Controlled by one or more of the foregoing (or a person or entity chosen by one or more of, or the estate of one or more of, the foregoing), any corporation, partnership, trust or other entity created for the benefit of one or more of the foregoing and/or for the benefit of the spouse, parents and/or lineal descendants of one or more of the foregoing (whether by blood or adoption, and including stepchildren).

Xxxxx Family means Xxxxxx X. Xxxxx, his children Xxxxxxxxxxx Xxxxxx Xxxxx and Xxxxxxxx Xxxxxx Xxxxx, any of their future spouses or children, any trust for the benefit of any of them, any trustee of such a trust (only insofar as the Common Stock is held by such trustee for the benefit of any of them) and any Affiliate or Associate of any of the foregoing.

• The Company may require any Xxxxx Family Party to furnish to the Company such information regarding such Xxxxx Family Party as the Company may from time to time reasonably request in writing, in each case only as required by the Securities Act or the rules and regulations thereunder.

• Any Xxxxx Family Party shall use reasonable best efforts, prior to any disclosure by any such Inspector under clause (i) of the preceding sentence, to inform the Company that such disclosure is necessary to avoid or correct a misstatement or omission in the registration statement.

• The liability of a Xxxxx Family Party under this Section 7(b) shall not exceed the amount of net proceeds received by such Xxxxx Family Party (net of underwriting discounts borne by such Xxxxx Family Party) from the sale of the Shares in the offering that is the subject of an indemnity claim under this Section 7(b).

• If so directed by the Company, each Xxxxx Family Party will deliver to the Company all copies (other than permanent file copies then in such Xxxxx Family Party’s possession) of any prospectus covering Shares in the possession of such Xxxxx Family Party or its agents current at the time of receipt of any Materiality Notice.

• The Company will not hereafter enter into any agreement with respect to its securities which is inconsistent with the rights granted to the Xxxxx Family Parties in this Agreement.

More Definitions of Xxxxx Family

Xxxxx Family means the Persons included in the joint Schedule 13(G) filing filed with the Securities and Exchange Commission on February 12, 1999, and all current or future heirs, successors and Affiliates to such Persons and all trusts or other entities established or maintained, or to be established or maintained, for the benefit of such Persons and their heirs, successors and Affiliates.

Xxxxx Family means Mr. V.N. Xxxxx, Xx. X.X. Xxxxx, Xx. X.X. Xxxxx and any of their spouses and children.

Xxxxx Family means (a) Xxx Xxxxx and the Estate of Xxxxxxx Xxxxx; (b) various lineal descendants of Xxx Xxxxx and spouses and adopted children of such descendants; (c) various trusts for the benefit of individuals described in clauses (a) and (b) and their trustees; (d) various entities owned or controlled, directly or indirectly, by the individuals and trusts described in clauses (a), (b) and (c) and/or (e) any combination of any of the foregoing.

Xxxxx Family means all or any of the following, collectively and in the aggregate: Xxx X. Xxxxx, his spouse, children, children-in-law, and grandchildren.

Xxxxx Family means the Voting Trust, any beneficiary of the Voting Trust, the voting trustee of the Voting Trust and Xxxxxx X. Xxxxx III (individually and as a trustee of any other trust), and “Voting Trust” means the Westell Technologies, Inc., f/k/a Electronic Information Technologies, Inc., Voting Trust Agreement dated February 23, 1994, as amended.
