Xxxxxx Transaction definition

Xxxxxx Transaction means that certain asset purchase transaction pursuant to which GOLF and Xxxxxx Acquisition, Inc., a Florida corporation and wholly-owned subsidiary of GOLF, shall purchase substantially all of the assets of Xxxxxx Golf Company, LLC upon the terms and conditions set forth in that certain Asset Purchase Agreement, dated as of October 1, 2004, by and among GOLF, Xxxxxx Acquisition, Inc., Xxxxxx Golf Company, LLC and the principal members of Xxxxxx Golf Company, LLC.

Xxxxxx Transaction has the meaning specified in the recitals to this Agreement.

Xxxxxx Transaction means the transaction among Copernic Inc., Comamtech and X. Xxxxxx Computer Corporation as publically announced by Copernic Inc. on August 25, 2010 and as may be amended and supplemented from time to time;

• The closing of Buyer's sale of certain systems ------------- to Xxxxxx Group, Inc., shall have occurred (the "Xxxxxx Transaction"); provided, however, if the Xxxxxx Transaction shall not have occurred by August 1, 1998, the closing of the Xxxxxx Transaction shall no longer be a condition to the obligations of Buyer to consummate the transactions hereunder.

• Xxxxxx has (or will have prior to execution thereof) all requisite corporate power and authority to enter into the Xxxxxx Transaction Agreements and to consummate the transactions contemplated thereby.

More Definitions of Xxxxxx Transaction

Xxxxxx Transaction means the purchase by the Borrower of a minority interest in Xxxxxx (or in the Xxxxxx XX) and the Borrower's PRO RATA share of any subsequent purchases made by Xxxxxx (or by the Xxxxxx XX) which investments by the Borrower shall not exceed in the aggregate $75,000,000.

Xxxxxx Transaction means the contemplated exchange of the assets of the brake division of Borrower for the climate control division of Xxxxxx and all transactions between Xxxxxx and its Subsidiaries and the Borrower and its Subsidiaries related to such exchange.

Xxxxxx Transaction means and includes, collectively, the transactions contemplated by the Consent Solicitation Statement, the First Supplemental Indenture, the Mercer Acquisition Documents, the New Senior Notes and the New Senior Note Indenture, including the New Equity Issuance.

Xxxxxx Transaction means the transaction contemplated by the XxXxxx XXX.
