Xxxxxxx Intellectual Property definition

Xxxxxxx Intellectual Property means Xxxxxxx Know-How and Xxxxxxx Patent Rights, collectively.

Xxxxxxx Intellectual Property has the meaning specified in Section 5.9.

• Except as provided in any Ancillary Agreement, any Intellectual Property Rights of Parent or any of its Subsidiaries that are Xxxxx Xxxxxxx Intellectual Property Assets shall be assigned, transferred and conveyed to the Xxxxx Xxxxxxx Group pursuant to the Contribution and in accordance with the procedures set forth on Schedule 2.2(b).

• The Xxxxxxx Entities have not received written notice that the use of any such Xxxxxxx Intellectual Property in the conduct of the Xxxxxxx Business as presently conducted violates any rights of any third Person the violation of which would result in losses, costs or expenses in the aggregate in excess of $2,000,000.

• Customer acknowledges and agrees that Xxxxxxx is and shall remain the owner of all right, title and interest in and to the Xxxxxxx Intellectual Property.

Xxxxxxx Intellectual Property has the meaning set forth in Section ----------------------------- 3.1(s)(i).

Xxxxxxx Intellectual Property means any Intellectual Property that has been used, is used, or is held for use in the business of Xxxx.xxx.

Xxxxxxx Intellectual Property means all patents, trademarks, designs, service marks, copyrights, trade or business names, trade dress and slogans (and all registrations of any of the foregoing, and all applications for registration thereof) relating to the Xxxxxxx Tape Business, Software relating to the Xxxxxxx Tape Business, and all goodwill associated with such intellectual property rights.

Xxxxxxx Intellectual Property has the meaning given to such term in Section 3.17(a) of this Agreement.

Xxxxxxx Intellectual Property means any Intellectual Property that is owned by or licensed to Sellers or used in connection with, or is for the benefit of, the Business.

Xxxxxxx Intellectual Property means any Intellectual Property that is owned by or licensed to Xxxxxxx or any of its affiliates. Without in any way limiting the generality of the foregoing, Xxxxxxx Intellectual Property includes all Intellectual Property owned or licensed by Xxxxxxx or its affiliates related to Xxxxxxx'x products, including without limitation all rights in any design code, documentation, and tooling for packaging of semiconductors in connection with all current products and products in design and development.
